§ 25A — No constructive notice

25A. Despite anything in the constitution of a company, a person is not affected by, or deemed to have notice or knowledge of the contents of, the constitution of, or any other document relating to, the company merely because —(a)

the constitution or document is registered by the Registrar; or

(b)

the constitution or document is available for inspection at the registered office of the company.[36/2014]
