Section 25A — No constructive notice

Despite anything in the constitution of a company, a person is not affected by, or deemed to have notice or knowledge of the contents of, the constitution of, or any other document relating to, the company merely because —

(a)the constitution or document is registered by the Registrar; or

(b)the constitution or document is available for inspection at the registered office of the company.[36/2014]
