§ 396 — Duty to take precautions against falsification

396.—(1) Where company records are kept otherwise than in hard copy form, reasonable precautions must be taken for —(a)

ensuring the proper maintenance and authenticity of the company records;

(b)

guarding against falsification; and

(c)

facilitating the discovery of any falsifications.[36/2014]

(2) In the case where company records are kept in electronic form, the company must provide for the manner by which the records are to be authenticated and verified.[36/2014]

(3) Where default is made in complying with subsection (1) or (2), the company and every officer of the company who is in default shall each be guilty of an offence and shall each be liable on conviction to a fine not exceeding $1,000 and also to a default penalty.[36/2014]
