Section 34

SEC. 34. Proxies. — (a) It shall be unlawful for any person, in contravention of such rules and regulations as the Commission may prescribe as necessary or appropriate the public interest or for the protection of investors, to solicit or to permit the use of his name to solicit any proxy or consent or authorization in respect of any security registered pursuant to this Act. (b) It shall be unlawful for any member of a securities exchange, or any broker or dealer, contravention of such rules and regulations as the Commission may prescribe as necessary or appropriate in the public interest or for the protection of investors, to give, refrain from giving a proxy, consent, or authorization in respect of any security registered pursuant to this Act and carried for the account of a customer. (c) Unless proxies, consents, or authorizations in respect of a security registered pursuant to this Act are solicited by or on behalf of the management of the issuer from the holders of record of such security in accordance with the rules and regulations prescribed under subsection (a) of this Section, such issuer shall, prior to any annual or other meeting of the holders of such security and in accordance with rules and regulations prescribed by the Commission, file with the Commission and transmit to all holders of record of such security information substantially equivalent to the information which would be required to be transmitted if a solicitation were made.
