s 164A Power to require disclosure of directors’ emoluments

164A.—(1) If a company is served with a notice sent by or on behalf of —(a) at least 10% of the total number of members of the company (excluding the company itself if it is registered as a member); or (b) a member or members with at least 5% of the total number of issued shares of the company (excluding treasury shares), requiring the emoluments and other benefits received by the directors of the company or of a subsidiary to be disclosed, the company must — (c) within 14 days or such longer period as the Registrar may allow, prepare or cause to be prepared and cause to be audited a statement showing the total amount of emoluments and other benefits paid to or received by each of the directors of the company and each director of a subsidiary; including any amount paid by way of salary, for the financial year immediately preceding the service of the notice; (d) when the statement mentioned in paragraph (c) has been audited, within 14 days send a copy of the statement to all persons entitled to receive notice of general meetings of the company; and (e) lay the statement before the next general meeting of the company held after the statement is audited.
