s 12 Quorum

12.—(1) No business, except that of adjournment, shall be transacted and no action or resolution of the Board shall be valid unless at least 7 members or one‑third of the members, whichever is the greater, are present at the meeting. (2) The Board may, subject to subsection (1), act notwithstanding any vacancy in its membership.
