reg 19 Electronic transmission of proxy appointments
(1) Section 372 of the 1985 Act (proxies) is amended as follows. (2) After subsection (2) insert the following subsections— (2A) The appointment of a proxy may, notwithstanding any provision to the contrary in a company’s articles, be contained in an electronic communication sent to such address as may be notified by or on behalf of the company for that purpose. (2B) In so far as the articles of the company do not make other provision in that behalf, the appointment of a proxy may be contained in an electronic communication in accordance with the provisions of Table A (as for the time being in force). (3) In subsection (5), for the words “the instrument appointing a proxy, or any other” substitute the words “the appointment of a proxy or any”. (4) In subsection (6), delete the words “in writing” in both places where they occur. (5) Insert the following subsection after subsection (6)— (6A) In this section, “address” includes any number or address used for the purposes of electronic communications.
