s 43 Offences by bodies of persons and by servants and agents

(1) Where an offence against this Act or any regulations made thereunder has been committed by a company, firm, society or other body of persons, any person who at the time of the commission of the offence was a director, manager, or other similar officer or a partner of the company, firm, society or other body of persons or was purporting to act in such capacity shall be deemed to be guilty of that offence unless he proves that the offence was committed without his consent or connivance and that he had exercised all such diligence as to prevent the commission of the offence as he ought to have exercised, having regard to the nature of his functions in that capacity and to all the circumstances. (2) Whenever it is proved to the satisfaction of the court that a contravention of the provisions of this Act or any regulations made thereunder has been committed by any clerk, servant or agent when acting in the course of his employment the principal shall also be held liable for such contravention and to the penalty provided thereof unless he proves to the satisfaction of the court that the same was committed without his knowledge or consent or that he had exercised all such diligence as to prevent the same and to ensure the observance of such provisions: Provided that nothing in this section shall be deemed to exempt such clerk, servant or agent from liability in respect of any penalty provided by this Act or regulations made thereunder for any contravention proved to have been committed by him.

(1) Jika sesuatu kesalahan terhadap Akta ini atau terhadap mana-mana peraturan yang dibuat di bawahnya telah dilakukan oleh sesuatu syarikat, firma, pertubuhan atau lain-lain kumpulan orang, seseorang yang pada masa berlakunya kesalahan itu "adalah seorang pengarah,/ pengurus atau lain-lain pegawai yang seumpamanya atau seseorang kongsi bagi syarikat, firma, pertubuhan atau lainlain kumpulan orang itu atau yang berupa sebagai bertugas dalam jawatan itu hendaklah disifatkan sebagai bersalah atas kesalahan itu melainkan jika ia membuktikan bahawa kesalahan itu telah dilakukan tanpa dipersetujui atau dibiarkan olehnya dan bahawa ia telah menjalankan segala usaha yang patut dijalankan olehnya memandang kepada Jenis tugas-tugasnya dalam jawatan itu dan kepada segala hal keadaan bagi mencegah berlakunya kesalahan itu. (2) Apabila jua dibuktikan dengan memuaskan hati mahkamah bahawa suatu mahkanaperutukan Akta ini elani terandap maap-maer. peraturan yang dibuat di bawahnya telah dilakukan oleh seseorang kerani, panjawat atau ejen apabila bertindak dalam masa menjalankan pekerjaannya, maka prinsıpalnya hendaklah juga bertanggungan atas pelanggaran itu dan boleh dıkenakan penalti yang diperuntükkan bagi pelanggaran itu melainkan jika ia membuktikan dengan memuaskan hati mahkamah bahawa pelanggaran itu telah dilakukan tanpa pengetahuan atau persetujuannya atau bahawa ia telah menjalankan segala usaha untuk mencegah pelanggaran itu dan untuk mempastikan pematuhan peruntukan-peruntukan itu: Dengan syarat bahawa tiada apa-apa jua dalam seksyen ini boleh disifatkan sebagai mengecualikan kerani, penjawat atau ejen itu daripada tanggungan mengenai penalti yang [Bah. VI,:Si 43-47] KUALITI "ALAM:SEKELILING diberuntukkan oleh Akta ini atau oleh peraturan-peraturan yang dibuat di bawahnya bagi apa-apa pelanggaran yang dibuktikan sebagai telah dilakukan olehnya.
