s 19 Offences committed by body corporate
Where an offence against this Act has been committed by a body corporate, any person who at the time of the commission of the offence was a director, manager, secretary or other similar officer of the body corporate, or was purporting to act in such capacity, shall be deemed to have committed that offence unless he proves that the offence was committed without his consent or connivance and that he exercised all due diligence to prevent the commission of the offence as he ought to have exercised, having regard to the nature of his functions in that capacity and to all the circumstances.

Kesalahan yang dilakukan oleh pertubuhan perbadanan
Jika suatu kesalahan terhadap Akta ini telah dilakukan oleh suatu pertubuhan perbadanan, mana-mana orang yang pada masa kesalahan itu dilakukan ialah seorang pengarah, pengurus, setiausaha atau pegawai lain yang seumpamanya dalam pertubuhan perbadanan itu, atau yang berupa sebagai bertindak atas sifat sedemikian, hendaklah disifatkan telah melakukan kesalahan itu melainkan jika dia membuktikan bahawa kesalahan itu dilakukan tanpa persetujuan atau pembiarannya dan bahawa dia telah menjalankan segala usaha wajar untuk mencegah pelakuan kesalahan itu sebagaimana yang sepatutnya telah dijalankan olehnya memandangkan jenis fungsinya atas sifat itu dan memandangkan segala hal keadaan.
