Private Higher Educational Institutions Act 1996 s 19
s 19 Prior approval of Minister on arrangement or agreement
(1) A company shall not enter into an arrangement or agreement—
(a) to sell, dispose of or to reconstruct; or
(b) to take any action which will affect in any material respect,
its business relating to education either by amalgamation or otherwise, unless approved by the Minister.
(2) An application for an approval under this section shall be made to the Registrar General—
(a) on the prescribed form and in the prescribed manner;
(b) accompanied by the prescribed fee; and
(c) by submitting together with the application—
(i) a copy of the proposed agreement or arrangement; and
(ii) all other information, particulars and documents as may be related directly or indirectly to the agreement or arrangement or relevant to its consideration.
(3) At any time after receiving an application and before it is determined by the Minister, the Registrar General may by written notice, require additional information, particulars or documents.
(4) Where any additional information, particulars or documents required under subsection (3) is or are not provided within the time specified in the requirement or any extension thereof, the application—
(a) shall be deemed to have been withdrawn; and
(b) shall not be further proceeded with,
without prejudice to a fresh application being made by the applicant.
(5) The Registrar General shall, on an application having been duly made under this section and after being provided with all such information, particulars and documents as he may require under subsection (3)—
(a) take the necessary action to vet the application; and
(b) make recommendation to the Minister whether the application—
(i) may be approved or refused; and
(ii) as to the modifications, variations or conditions, if any, subject to which it may be approved.
(6) Upon receiving and having considered the recommendations of the Registrar General, the Minister may—
(a) approve the application with or without any modification, variation or condition; or
(b) refuse the application without assigning any reason for such refusal.
(7) Where the Minister refuses the application, the Registrar General shall notify the applicant in writing of the refusal.
(8) The Minister may, in granting an approval under paragraph (6)(a), require the company to pay such amount of fees as may be prescribed.
(9) The decision of the Minister under this section shall be final.

Kelulusan terdahulu Menteri mengenai perkiraan atau perjanjian
(1) Institusi pendidikan tinggi swasta tidak boleh membuat perkiraan atau perjanjian—
(a) untuk menjual, melupuskan atau membangunkan semula; atau
(b) untuk mengambil apa-apa tindakan yang akan menjejaskan secara yang material,
perniagaannya berhubungan dengan pendidikan sama ada melalui penyatuan atau selainnya, melainkan jika diluluskan oleh Menteri.
(2) Permohonan untuk mendapatkan kelulusan di bawah seksyen ini hendaklah dibuat kepada Ketua Pendaftar—
(a) dalam borang yang ditetapkan dan mengikut cara yang ditetapkan;
(b) disertai fi yang ditetapkan; dan
(c) dengan mengemukakan bersekali dengan permohonan itu—
(i) salinan perjanjian atau perkiraan yang dicadangkan; dan
(ii) semua maklumat, butir-butir dan dokumen lain yang berkaitan dengan secara langsung dan tidak langsung dengan perjanjian atau perkiraan itu atau yang relevan bagi pertimbangannya.
(3) Pada bila-bila masa selepas menerima permohonan dan sebelum ia ditentukan oleh Menteri, Ketua Pendaftar boleh dengan notis bertulis menghendaki maklumat, butir-butir atau dokumen tambahan.
(4) Jika apa-apa maklumat, butir-butir atau dokumen tambahan yang dikehendaki di bawah subseksyen (3) tidak diberikan dalam masa yang ditetapkan dalam kehendak itu atau apa-apa lanjutan masa, permohonan itu—
(a) hendaklah disifatkan telah ditarik balik; dan
(b) tidak boleh diteruskan,
tanpa menjejaskan pemohon untuk membuat permohonan baru.
(5) Ketua Pendaftar hendaklah, apabila permohonan dibuat dengan sewajarnya di bawah seksyen ini dan selepas diberikan kesemua maklumat, butir-butir dan dokumen yang diminta olehnya di bawah subseksyen (3)—
(a) mengambil tindakan yang perlu untuk menyemak permohonan itu; dan
(b) membuat syor kepada Menteri mengenai sama ada permohonan itu—
(i) boleh diluluskan atau ditolak; dan
(ii) tentang ubah suaian, pengubahan atau syarat, jika ada, tertakluk kepadanya ia diluluskan.
(6) Setelah menerima dan menimbangkan syor Ketua Pendaftar, Menteri boleh—
(a) meluluskan permohonan itu dengan atau tanpa apa-apa ubah suaian, pengubahan atau syarat; atau
(b) menolak permohonan itu tanpa memberikan apa-apa sebab bagi penolakan itu.
(7) Jika Menteri menolak permohonan itu, Ketua Pendaftar hendaklah memberitahu pemohon tentang penolakan itu secara bertulis.
(8) Menteri boleh, pada memberikan kelulusan di bawah perenggan (6)(a), menghendaki institusi pendidikan tinggi swasta itu membayar apa-apa amaun fi yang ditetapkan.
(9) Keputusan Menteri di bawah seksyen ini adalah muktamad.
