s 39 Refusal to grant approval
(1) The Registrar General shall grant his approval under section 38 if he is satisfied—
(a) with the suitability of arrangements relating to the educational facilities;
(b) with the quality assurance of the courses of study or training programmes; and
(c) that the approval is not inconsistent with the national policies, strategies and guidelines on higher education,
based upon the recommendation of an authority established under a written law for such purpose.
(2) Where the Registrar General refuses to grant his approval, he shall notify the applicant in writing of the grounds for his refusal.
(3) An applicant who is aggrieved by the decision of the Registrar General under subsection (1) may appeal in writing to the Minister within twenty-one days from being notified of the decision appealed against.

Keengganan memberikan kelulusan
(1) Ketua Pendaftar hendaklah memberikan kelulusannya di bawah seksyen 38 jika dia berpuas hati—
(a) dengan kesesuaian perkiraan yang berhubungan dengan kemudahan pendidikan;
(b) dengan jaminan kualiti kursus pengajian atau program latihan itu; dan
(c) bahawa kelulusan itu adalah tidak bertentangan dengan dasar negara, strategi dan garis panduan tentang pendidikan tinggi,
berdasarkan syor pihak berkuasa yang ditubuhkan di bawah undang-undang bertulis bagi maksud sedemikian.
(2) Jika Ketua Pendaftar enggan memberikan kelulusannya, dia hendaklah memberitahu pemohon secara bertulis tentang alasan bagi penolakannya itu.
(3) Seseorang pemohon yang terkilan dengan keputusan Ketua Pendaftar di bawah subseksyen (1) boleh merayu secara bertulis kepada Menteri dalam masa dua puluh satu hari dari diberitahukan keputusan yang dirayukan itu.
