s 19 Power to issue debentures
(1) Subject to this Division and to the terms and conditions of its memorandum and articles, a Labuan company shall have the power to issue debentures on such terms and conditions as it thinks fit and in particular, but without limiting the generality of the foregoing, may issue debentures—
(a) constituting a charge on any or all of the assets of the company;
(b) convertible from debentures into shares in the company; or
(c) as secured debentures.
(2) The debt payable under any debenture, whether sealed or signed on behalf of the company, shall be a specialty debt of the company, and where the debenture is issued by a branch of a company, shall be located at that branch.
(3) The Minister may make regulations—
(a) restricting the right of a Labuan company or any particular class of Labuan companies to issue debentures which may be converted into shares; and
(b) prescribing the terms and conditions or the event or events upon which conversion shall or may take place.

Kuasa untuk menerbitkan debentur
(1) Tertakluk kepada Penggal ini dan kepada terma dan syarat memorandum dan perkaranya, sesuatu syarikat Labuan hendaklah mempunyai kuasa untuk menerbitkan debentur atas apa-apa terma dan syarat yang difikirkannya patut dan khususnya, tetapi tanpa mengehadkan keluasan yang terdahulu, boleh menerbitkan debentur—
(a) yang menjadi gadaian ke atas mana-mana atau kesemua aset syarikat itu;
(b) yang boleh ditukar daripada debentur kepada syer dalam syarikat itu; atau
(c) sebagai debentur bercagar.
(2) Hutang yang kena dibayar di bawah apa-apa debentur, sama ada dimeterai atau ditandatangani bagi pihak syarikat itu, hendaklah menjadi suatu hutang istimewa syarikat itu, dan jika debentur itu diterbitkan oleh cawangan sesuatu syarikat, hendaklah terletak di cawangan tersebut.
(3) Menteri boleh membuat peraturan-peraturan—
(a) menyekat hak sesuatu syarikat Labuan atau mana-mana kelas tertentu syarikat Labuan untuk menerbitkan debentur yang boleh ditukarkan kepada syer; dan
(b) menetapkan terma dan syarat atau kejadian atau kejadiankejadian yang atasnya penukaran hendak atau boleh dilakukan.
