s 24 Power to issue Sukuk
(1) Subject to this Chapter and to the terms and conditions of its memorandum and articles, a Labuan company shall have the power to issue Sukuk on such terms and conditions as it thinks fit and in particular, but without limiting the generality of the foregoing, may issue the following:
(a) a Sukuk constituting a charge on any or all of the assets of the company;
(b) a Sukuk which may be converted into shares in the company; or
(c) a secured Sukuk.
(2) The amounts payable under any Sukuk, whether sealed or signed on behalf of the company, shall be a specialty debt of the company, and where the Sukuk is issued by a branch of a company, it shall be located at that branch.
(3) The Minister may make regulations—
(a) restricting the right of a Labuan company or any particular class of Labuan companies to issue Sukuk which may be converted into shares;
(b) prescribing the terms and conditions or the event or events upon which conversion shall or may take place.

Kuasa untuk menerbitkan Sukuk
(1) Tertakluk kepada Bab ini dan kepada terma dan syarat memorandum dan perkaranya, sesuatu syarikat Labuan hendaklah mempunyai kuasa untuk menerbitkan Sukuk atas apa-apa terma dan syarat yang difikirkannya patut dan khususnya, tetapi tanpa mengehadkan keluasan yang disebut terdahulu, boleh menerbitkan yang berikut:
(a) suatu Sukuk yang menjadi gadaian ke atas mana-mana atau kesemua aset syarikat itu;
(b) suatu Sukuk yang boleh ditukar kepada syer dalam syarikat itu; atau
(c) suatu Sukuk bercagar.
(2) Amaun yang kena dibayar di bawah apa-apa Sukuk, sama ada dimeterai atau ditandatangani bagi pihak syarikat itu, hendaklah menjadi suatu hutang istimewa syarikat itu, dan jika Sukuk itu diterbitkan oleh cawangan sesuatu syarikat, hendaklah terletak di cawangan itu.
(3) Menteri boleh membuat peraturan-peraturan—
(a) menyekat hak sesuatu syarikat Labuan atau mana-mana kelas tertentu syarikat Labuan untuk menerbitkan Sukuk yang boleh ditukarkan kepada syer;
(b) menetapkan terma dan syarat atau kejadian atau kejadiankejadian yang atasnya penukaran hendak atau boleh dilakukan.
