s 34 Conversion from Labuan limited partnership to Labuan limited liability partnership
(1) A Labuan limited partnership may convert to a Labuan limited liability partnership if and only if the partners of the Labuan limited liability partnership to which the Labuan limited partnership is to be converted, comprises all the partners of the Labuan limited partnership and no one else.
(2) In this chapter, βconvertβ, in relation to a Labuan limited partnership converting to a Labuan limited liability partnership, means a transfer of the properties, interests, rights, privileges, liabilities, obligations and the undertaking of the Labuan limited partnership to the Labuan limited liability partnership.

Penukaran daripada perkongsian terhad Labuan kepada perkongsian liabiliti terhad Labuan
(1) Sesuatu perkongsian terhad Labuan boleh bertukar kepada suatu perkongsian liabiliti terhad Labuan jika dan hanya jika pekongsi perkongsian liabiliti terhad Labuan yang kepadanya perkongsian terhad Labuan itu akan ditukarkan, terdiri daripada semua pekongsi perkongsian terhad Labuan itu dan tiada orang lain.
(2) Dalam bab ini, βbertukarβ, berhubung dengan sesuatu perkongsian terhad Labuan yang bertukar kepada perkongsian liabiliti terhad Labuan, ertinya suatu pemindahan hak milik harta, kepentingan, hak, keistimewaan, liabiliti, obligasi dan perusahaan perkongsian terhad Labuan itu kepada perkongsian liabiliti terhad Labuan.
