s 84B Offence committed by a body corporate: officers deemed to be guilty
Where an offence under this Act or under any of the by laws made thereunder is committed by a body corporate (whether or not the body corporate has been prosecuted) every director, secretary or manager of the body corporate shall be deemed to be guilty of the offence unless he proves that the offence was committed without his consent or connivance and that he exercised all due diligence to prevent the commission of the offence as he ought to have exercised having regard to the nature of his functions in that capacity and to all the circumstances of the case.

Kesalahan yang dilakukan oleh pertubuhan perbadanan: pegawai disifatkan bersalah
Jika suatu kesalahan di bawah Akta ini atau di bawah manamana undang-undang kecil yang dibuat di bawahnya dilakukan oleh suatu pertubuhan perbadanan (sama ada pertubuhan perbadanan itu telah didakwa atau tidak) tiap-tiap pengarah, setiausaha atau pengurus pertubuhan perbadanan itu hendaklah disifatkan melakukan kesalahan itu melainkan jika dia membuktikan bahawa kesalahan itu dilakukan tanpa persetujuan atau pembiarannya dan bahawa dia telah menjalankan segala usaha wajar untuk mencegah berlakunya kesalahan itu sebagaimana yang sepatutnya telah dijalankan olehnya memandangkan jenis fungsinya dalam jawatan itu dan memandangkan semua hal keadaan kes itu.
