Malaysia-Thailand Joint Authority Act 1990 s 23

s 23 Director and officer or body corporate may be charged jointly with body corporate

Where a person charged with an offence under this Act or any regulation made under section 15 is a body corporate every person who, at the time of the commission of the offence, is a director or officer of the body corporate may be charged jointly in the same proceedings with the body corporate, and where the body corporate is convicted of the offence charged, every such director or officer shall be deemed to be guilty of that offence unless he proves that the offence was committed without his knowledge or that he took reasonable precautions to prevent its commission.

Pengarah dan pegawai pertubuhan perbadanan boleh dipertuduh bersesama dengan pertubuhan perbadanan

Jika seseorang yang dipertuduh atas suatu kesalahan di bawah Akta ini atau mana-mana peraturan yang dibuat di bawah seksyen 15 ialah suatu pertuduhan perbadanan, tiap-tiap orang yang, pada masa kesalahan itu dilakukan, ialah pengarah atau pegawai pertubuhan perbadanan itu boleh dipertuduh bersesama dalam prosiding yang sama dengan pertubuhan perbadanan itu, dan jika pertubuhan perbadanan itu disabitkan atas kesalahan yang dipertuduhkan, maka tiap-tiap pengarah atau pegawai itu hendaklah disifatkan bersalah atas kesalahan itu melainkan jika dia membuktikan bahawa kesalahan itu telah dilakukan tanpa pengetahuannya atau bahawa dia telah mengambil langkah berjaga-jaga yang munasabah untuk mencegah pelakuan kesalahan itu.
