(1) Where in any prospectus, or in any advertisement of the kind referred to in section 33 (1), there is an untrue statement or wilful non-disclosure, any person who authorized or caused the issue of the prospectus or advertisement shall be guilty of an offence against this Act unless he proves that the statement or non-disclosure was immaterial or that he had reasonable ground for believing and did, up to the time of the issue of the prospectus, believe that the statement was true or that the non-disclosure was immaterial. ringgit or both. :

(2) A person shall not be deemed to have authorized or caused the issue of a prospectus by reason only of his having given the consent required by this Division to the inclusion therein of a statement purporting to be made by him as an expert.

(1) Jika dalam mana-mana prospektus, atau dalam mana-mana iklan daripada jenis yang tersebut dalam seksyen 33 (1), terdapat suatu pernyataan yang tidak benar atau ketakzahiran sengaja, mana-mana orang yang membenarkan atau menyebabkan pengeluaran prospektus atau iklan itu adalah melakukan suatu kesalahan terhadap Akta ini melainkan jika dia membuktikan bahawa pernyataan atau ketakzahiran itu adalah tidak material atau bahawa dia mempunyai alasan yang munasabah untuk mempercayai dan telah mempercayai, sehingga ke masa pengeluaran prospektus itu, bahawa pernyataan itu adalah benar atau ketakzahiran itu adalah tak material. ringgit atau kedua-duanya.
(2) Seseorang tidak boleh disifatkan sebagai telah membenarkan atau menyebabkan pengeluaran sesuatu prospektus semata-mata disebabkan dia memberikan persetujuan yang dikehendaki oleh Penggal ini kepada kemasukan ke dalam prospektus itu sesuatu pernyataan yang dikatakan dibuat olehnya sebagai seorang pakar.
