s 41
(1) No allotment shall be made of any shares of an offshore company offered to the public unless
(a) the minimum subscription has been subscribed; and
(b) the sum payable on application for the shares so subscribed has been received by the company, but if a cheque for the sum payable has been received by the company, the sum shall be deemed not to have been received by the company until the cheque is paid by the bank on which it is drawn.
(2) The minimum subscription shall be—
(a) calculated on the nominal value of each share, and where the shares are issued at a premium, on the nominal value of, and the amount of the premium payable on, each share; and.
(b) reckoned exclusively of any amount payable otherwise than in cash.
(3) The amount payable on application on each share offered to the public shall not be less than five per centum of the nominal amount of the share or of the issue price, as the case may be.
(4) Any condition requiring or binding any applicant for shares to waive compliance with any requirement of this section shall be void 5) No offshore company shall allot, and no officer o promoter of an offshore company or a proposed offshore company shall authorize or permit to be allotted, shares or debentures to the public on the basis of a prospectus after the expiration of four months from the issue of the prospectus. ringgit or both.

(1) Tiada pengumpukan boleh dibuat mengenai apa- Larangan apa syer sesuatu syarikat luar pesisir yang ditawarkan pengumpukan kepada awam melainkan jika— jika bayaran
(a) bayaran minimum telah dibayar; dan minimum diterima.
(b) jumlah wang yang kena dibayar atas permohonan bagi syer-syer yang dimohon beli itu telah diterima oleh syarikat itu, tetapi jika suatu cek bagi jumlah wang yang kena dibayar itu telah diterima oleh syarikat itu, jumlah wang itu hendaklah disifatkan tidak diterima oleh syarikat itu sehingga cek itu dibayar oleh bank yang mengeluarkannya.
(2) Bayaran minimum itu hendaklah —
(a) dika s yee-giku ini dinerninaln eiag ayeraran remium, mengikut nilai nominainya, da maun premium vang kena dibavar ke atas setia syer; dan..

(b) dihitung tanpa mengira apa-apa amaun yang kena dibayar selain daripada dengan wang tunai.
(3) Amaun yang kena dibayar atas permohonan setiap syer yang ditawarkan kepada awam hendaklah tidak kurang daripada lima peratus daripada amaun nominal syer itu atau harga terbitannya, mengikut mana-mana yang berkenaan.
(4) Apa-apa syarat yang menghendaki atau yang mengikat mana-mana pemohon syer supaya menepikan pematuhan apa-apa kehendak seksyen ini adalah tak sah.
(5) Tiada syarikat luar pesisir boleh mengumpukkan dan tiada pegawai atau penaja sesuatu syarikat luar pesisir atau syarikat luar pesisir yang dicadangkan boleh membenarkan atau mengizinkan syer-syer atau debenturdebentur diumpukkan kepada awam berasaskan suatu prospektus selepas tamatnya tempoh empat bulan daripada pengeluaran prospektus itu. ringgit atau kedua-duanya.
