s 53
(1) Subject to confirmation by the Court, an offshore special company may, if so authorized by its articles, by special resolution for resolution reduce its share capital in any way and in reduction particular, without limiting the generality of the foregoing, capita. may-
(a) extinguish or reduce the liability on any of its shares in respect of share capital not paid up;
(b) cancel any paid-up capital which is lost or unrepresented by available assets; or
(c) pay off any paid-up share capital which is in excess of the needs of the company, or which it is otherwise in the interests of the company as a whole to have paid off, and may, so far as necessary, alter its memorandum by reducing the amount of its share capital and of its shares accordingly.
(2) Where the proposed reduction of share capital involves diminution of liability in respect of unpaid share
[Pt. IV, S. 53] capital or the payment to any shareholder of any paid-up share capital, and in any other case if the Court so directs—,
(a) every creditor of the offshore company who, at the time fixed by the Court, is entitled to any debt or claim which, if that date were the commencement of the winding up of the company, would be admissible in proof against the company, shall be entitled to object to the reduction;
(b) the Court, unless satisfied by statutory declaration by the directors that there are no such creditors, shall settle a list of creditors so entitled to object, and for that purpose shall ascertain, as far as possible without requiring an application from any creditor, the names of those creditors and the nature and amount of their debts or claims, and may publish notices fixing a final day on or before which creditors not entered on the list may claim to be so entered; and
(c) where a creditor entered on the list whose debt or claim is not discharged or has not been determined does not consent to the reduction, the Court may dispense with the consent of that creditor on the offshore company securing payment of his debt or claim by appropriating, as the Court directs—
(i) if the company admits the full amount of the debt or claim or, although not admitting it, is willing to provide for it, the full amount of the debt or claim; or
(ii) if the company does not admit, and is not willing to provide for, the full amount of the debt or claim, or if the amount is contingent or not ascertained, an amount fixed by the Court after the like inquiry and adjudication as if the company were being wound up by the Court.
(3) Notwithstanding the provisions of subsection (2) the Court may, having regard to the circumstances of the case, direct that all or any of the provisions of that subsection shall not apply as regards any class of credițors. : :

(4) The Court, if satisfied with respect to every creditor who under subsection (2) is entitled to object, that either his consentto the reduction has been obtained, or his debt or claim has been discharged or has been determined or has been secured, may make an order confirming the reduction on such offshore dompaiy to pas is hastke Eound imay, tegreras the for reduction or such other information as the Court thinks expedient, and, if the Court thinks fit, the causes which led to the reduction. it
(5) An order made under subsection (4) shall show the amount of the share capital of the offshore company as altered by the order, the number of shares into which it is to be divided and the amount of each share and the amount, if any, at the date of the order, deemed to be paid up on each share.
(6). On the lodging of an office copy of the order with the Registrar, the resolution forreducing share capital as confirmed by the order so lodged shall take effect.
(7) The certificate of the Registrar shall be conclusive evidence that all the requirements of this Act with respect to reduction of share capital have been complied with and that the share capital of an offshore company is as stated in the order.
(8) On the lodging of the copy of the order, the particulars shown in the order pursuant to subsection (5) shall be deemed to be substituted for the corresponding particulars in the memorandum, and such substitution and any addition ordered by the Court to be made in the name of the offshore company shall (in the case of any addition to the name, for such period as is specified in the order of the Court) be deemed to be an alteration of the memorandum for the purposes of this Act.
(9) A member, past or present, shall not be liable in respect of any share to any call or contribution exceeding in amount the difference between the amount of the share as fixed by the order and the amount paid, or the reduced amount which is to be deemed to have been paid on the share, as the case may be, but where any creditor entitled to object to the reduction is, by reason of his ignorance of the proceedings for reduction, or of their nature and effect upon his claim, not entered on the list
Rights of holders of preference shares to be set out in articles. [Pt. IV, S. 53-54] of creditors, and after the reduction the offshore company is unable, within the meaning of the provisions of this Act with respect to winding up by the Court, to pay the amount of his debt or claim—
(a) every person who was a member of that offshore company at the date of the lodging of the copy of the order of the Court for reduction shall be liable to contribute for the payment of that debt or claim to an amountnotexceeding that which he would have been liable to contribute if the company had commenced to, be wound up on the day before that date; and
(b) if that offshore company is wound up, the Court, on the application of any such creditor and proof of his ignorance of the proceedings forreduction or of their nature and effect upon his claim, may settle a list of persons so liable to contribute, and make and enforce calls and orders on the contributories settled on the list, as if they were ordinary contributories in a winding up, but nothing in this subsection shall affect the rights of the contributories among themselves.
(10) Any officer of an offshore company who—
(a) wilfully conceals the name of any creditor entitled to object to the reduction;
(b) wilfully misrepresents the nature or the amount of the debt or claim of any creditor; or
(c) aids, abets or is party to any such concealment or misrepresentation, shall be guilty of an offence against this Act. ringgit or both.

(1) Tertakluk kepada pengesahan Mahkamah, sesuatu syarikat luar pesisir boleh, jika dibenarkar demikian oleh perkara-perkaranya, melalui ketetapaı chas mengurangkan modal syernya mengikut apa-apa car dan khususnya, tanpa menghadkan keluasan makna yang disebut di atas, boleh—
(a) menghapuskan atau mengurangkan liabiliti ke atas mana-mana syernya berkenaan dengan modal syer yang tak berbayar;
:
(b) mengkenselkan mana-mana modal berbayar yang hilang atau yang tak diwakili oleh aset-aset yang ada; atau membayar mana-mana modal syer berbayar yang melebihi keperluan syarikat, atau yang selainnya adalah bagi kepentingan syarikat itu keseluruhannya untuk dibayar, dan boleh, setakat yang perlu, mengubah memorandumnya dengan mengurangkan amaun modal syernya dan amaun syer-syernya dengan sewajarnya.
(2) Jika pengurangan modal syer yang dicadangkan itu melibatkan pengurangan liabiliti berkenaan dengan modal syer tak berbayar atau pembayaran kepada mana-mana pemegang syer bagi mana-mana modal syer berbayar, dan dalam mana-mana hal lain jika Mahkamah mengarahkan demikian—
(a) tiap-tiap pemiutang syarikat luar pesisir yang, pada tarikh yang ditetapkan oleh Mahkamah, berhak terhadap mana-mana hutang atau tuntutan yang, jika tarikh tersebut adalah permulaan bagi penggulungan syarikat itu, boleh diterima sebagai bukti terhadap syarikat itu, adalah berhak membantah pengurangan itu;
(b) Mahkamah, melainkan jika berpuas hati dengan akuan berkanun oleh pengarah-pengarah bahawa tidak terdapat pemiutang-pemiutang sedemikian, hendaklah menetapkan suatu senarai pemiutang-pemiutang yang berhak membantah, dan bagi maksud itu hendaklah menentukan, seboleh-bolehnya tanpa menghendaki suatu permohonan daripada mana-mana pemiutang, nama pemiutang-pemiutang itu dan jenis serta amaun hutang-hutang atau tuntutantuntutan mereka, dan boleh menyiarkan notisnotis yang menetapkan hari terakhir yang atau yang sebelumnya pemiutang-pemiutang yang tidak dicatatkan di senarai itu boleh menuntut untuk dicatatkan demikian; dan
(c) jika seseorang pemiutang yang dicatatkan di senarai yang hutang atau tuntutannya tidak
dijelaskan atau belum diputuskan tidak bersetuju dengan pengurangan itu, Mahkamah boleh mengetepikan persetujuan pemiutang itu apabila syarikat luar pesisir itu menjamin pembayaran hutang atau tuntutannya dengan mengasingkan, sebagaimana yang diarahkan
(i) jika syarikat itu mengakui amaun penuh hutang atau tuntutan itu, atau walaupun tidak mengakuinya, bersetuju mengadakannya, amaun penuh hutang atau tuntutan itu; atau
(ii) jika syarikat itu tidak mengakui, dan tidak bersedia mengadakan, amaun penuh hutang atau tuntutan itu, atau jika amaun itu adalah kontinjen atau belum diputuskan, suatu amaun yang ditetapkan oleh Mahkamah selepas siasatan dan penghukuman yang seumpamanya seolah-olah syarikat itu digulung oleh Mahkamah.
(3) Walau apa pun peruntukan subseksyen (2), Mahkamah boleh, memandangkan kepada hal keadaan sesuatu kes, mengarahkan bahawa segala atau mana-mana peruntukan subseksyen itu tidak terpakai berkenaan dengan mana-mana kelas pemiutang.
(4) Mahkamah, jika berpuas hati mengenai tiap-tiap pemiutang yang berhak membantah di bawah subseksyen
(2), bahawa sama ada persetujuannya terhadap pengurangan itu telah diperolehi, atau hutang atau tuntutannya telah dijelaskan atau telah diputuskan atau telah dijamin, boleh membuat suatu perintah yang mengesahkan pengurangan itu atas apa-apa terma dan syarat yang difikirkannya patut, dan boleh menghendaki syarikat luar pesisir itu menyiarkan sebagaimana yang diarahkan oleh Mahkamah sebab-sebab bagi pengurangan atau apa-apa maklumat lain yang difikirkan suaimanfaat oleh Mahkamah, dan, jika Mahkamah memikirkan patut, sebab-sebab yang membawa kepada pengurangan itu.

(5) Sesuatu perintah yang dibuat di bawah subseksyen
(4) hendaklah menunjukkan amaun modal syer syarikat luar pesisir itu sebagaimana yang diubah oleh perintah itu, bilangan syer yang syer-syer itu hendak dibahagibahagikan dan amaun setiap syer dan amaun, jika ada, pada tarikh perintah itu, yang disifatkan berbayar atas setiap syer.
(6) Apabila salinan pejabat perintah itu diserahkan kepada Pendaftar, ketetapan bagi pengurangan modal syer demkian henyaklali berkuaokeaparintah yang diserahkan
(7) Perakuan Pendaftar hendaklah menjadi keterangan konklusif bahawa segala kehendak Akta ini mengenai pengurangan modal syer telah dipatuhi dan bahawa modal syer sesuatu syarikat luar pesisir adalah sebagaimana yang dinyatakan dalam perintah itu.
(8) Apabila salinan perintah itu diserahkan, butir-butir yang ditunjukkan dalam perintah itu menurut subseksyen
(5) hendaklah disifatkan menggantikan butir-butir yang bersamaan dalam memorandum, dan penggantian sedemikian dan apa-apa penambahan yang diperintahkan oleh Mahkamah supaya dibuat pada nama syarikat luar pesisir itu hendaklah (dalam hal apa-apa penambahan kepada nama, selama tempoh yang dinyatakan dalam perintah Mahkamah itu) disifatkan sebagai pengubahan memorandum bagi maksud-maksud Akta ini.
(9) Seseorang anggota, yang dahulu atau yang ada sekarang, tidaklah bertanggungan berkenaan dengan mana-mana syer terhadap apa-apa panggilan atau caruman yang amaunnya melebihi perbezaan di antara amaun syer yang ditetapkan oleh perintah itu dengan amaun yang dibayar, atau amaun yang dikurangkan yang disifatkan telah dibayar atas syer itu, mengikut mana-mana yang berkenaan, tetapi jika mana-mana pemiutang yang berhak membantah pengurangan itu, disebabkan kejahilannya tentang prosiding bagi pengurangan itu, atau tentang jenis dan kesan prosiding itu terhadap tuntutannya, tidak dicatatkan di senarai pemiutang-pemiutang, dan selepas pengurangan itu syarikat luar pesisir itu tidak dapat, mengikut pengertian peruntukan-peruntukan Akta ini
mengenai penggulungan oleh Mahkamah, membayar amaun hutang atau tuntutannya—
(a) tiap-tiap orang yang menjadi anggota syarikat luar pesisir itu pada tarikh penyerahan salinan perintah Mahkamah bagi pengurangan itu adalah bertanggungan untuk menyumbang bagi pembayaran hutang atau tuntutan itu sebanyak amaun yang tidak melebihi amaun yang dia sepatutnya bertanggungan menyumbang jika syarikat itu telah mula digulung pada hari sebelum tarikh tersebut; dan
(b) jika syarikat luar pesisir itu digulung, Mahkamah, atas permohonan mana-mana pemiutang itu dan apabila terbukti kejahilannya mengenai prosiding bagi pengurangan atau mengenai jenis dan kesan prosiding itu terhadap tuntutannya, boleh menetapkan suatu senarai orang yang bertanggungan menyumbang, dan membuat serta menguatkuasakan panggilanpanggilan dan perintah-perintah ke atas pencarum yang ditetapkan di senarai itu, seolaholah mereka adalah pencarum biasa dalam sesuatu penggulungan, tetapi tiada apa-apa jua dalam subseksyen ini boleh menyentuh hak pencarum-pencarum itu sesama mereka sendiri.
(10) Mana-mana pegawai syarikat luar pesisir yang—
(a) bersengaja menyembunyikan nama mana-mana pemiutang yang berhak membantah pengurangan itu;
(b) bersengaja menyalahnyatakan jenis atau amaun hutang atau tuntutan mana-mana pemiutang;
(c) membantu, menyubahati atau menjadi pihak kepada mana-mana penyembunyian atau salah nyataan itu, adalah melakukan suatu kesalahan terhadap Akta ini. ringgit atau kedua-duanya. :
