(1) Subject to this section, an offshore company having Redeemable a share capital may, if so authorized by its articles, issue preference shares. preference shares which are, or at the option of the company are to be, liable to be redeemed, and the redemption shall be effected only on such terms and in such manner as are provided by the articles. (2) The redemption shall not be taken as reducing the amount of authorized share capital of the company. (3) The shares shall not be redeemed- (a) except out of profits which would otherwise be available for dividend, or out of the proceeds of a fresh issue of shares made for the purposes of the redemption; and (b) unless they are fully paid up. (4) The premium, if any, payable on redemption shall be provided for out of profits or the share premium account before the shares are redeemed. (5) Where any such shares are redeemed otherwise than out of the proceeds of a fresh issue, there shall, out of profits which would otherwise have been available for dividend, be transferred to a reserve called the "capital redemption réserve" a sum equal to the nominal amount of the shares redeemed, and the provisions of this Act relating to the reduction of the share capital of an offshore company shall, except as provided in this section, apply as if the capital redemption reserve were paid-up share capital of the company. IV, S. 55-56] (6) Where, in pursuance of this section, an offshore company has redeemed, or is about to redeem, any preference shares, it may issue shares up to the nominal amount of the shares redeemed or to be redeemed as if those shares had never been issued, and accordingly the share capital of the company shall not, for the purposes of any fee under this Act, be deemed to be increased by such issue, but where new shares are issued before the redemption of the old shares, the new shares shall not, so far as relate to any fee under this Act, be deemed to have been issued in pursuance of this subsection unless the old shares have been redeemed within one month after the issue of the new shares. (7) The capital redemption reserve may be applied in paying up unissued shares of the company to be issued to members of the company as fully paid bonus shares. (8) If an offshore company, redeems any redeemable preference shares, it shall, within fourteen days after so doing, give notice thereof to the Registrar specifying the shares redeemed. (1) Tertakluk kepada seksyen ini, sesuatu syarikat. Syer luar pesisir yang mempunyai modal syer boleh, jika bolch tebus. dibenarkan demikian oleh perkara-perkaranya, menerbitkan syer-syer keutamaan yang boleh, atau atas opsyen syarikat itu akan boleh, ditebus dan penebusan itu hendaklah dibuat hanya atas apa-apa terma dan mengikut apa-apa cara yang diperuntukkan oleh perkara-perkara itu. (2) Penebusan itu tidaklah boleh dikira sebagai mengurangkan amaun modal syer dibenarkan bagi syarikat itu. (3) Syer-syer itu tidak boleh ditebus—. (a) kecuali dengan keuntungan-keuntungan yang sepatutnya boleh didapatkan untuk dividen, atau daripada hasil penerbitan baru syer-syer yang dibuat bagi maksud-maksud penebusan itu; dan [Bah. IV, S. 55] (b) melainkan jika syer-syer itu berbayar penuh. (4) Premium, jika ada, yang kena dibayar atas penebusan hendaklah diperuntukkan daripada keuntungan atau akaun premium syer sebelum syer-syer itu ditebus. (5) Jika mana-mana syer itu ditebus selain daripada engan hasıl sesuatu penerbıtan baru, maka hendaklal laripada keuntungan-keuntungan yang sepatutnya bolel didapatkan untuk dividen, dipindahkan kepada suatu rizab yang dinamakan "rizab penebusan modal" suatu jumlah wang yang sama banyak dengan amaun nominal syer-syer yang ditebus, dan peruntukan-peruntukan Akta ini yang berhubungan dengan pengurangan modal syer sesuatu syarikat luar pesisir hendaklah, kecuali sebagaimana yang diperuntukkan dalam seksyen ini, terpakai seolah-olah rizab penebusan modal itu adalah modal syer berbayar syarikat itu. (6) Jika, menurut seksyen ini, sesuatu syarikat luar pesisir telah menebus, atau hampir hendak menebus, mana-mana syer keutamaan, ia boleh menerbitkan syersyer hingga setakat amaun nominal syer-syer yang ditebus atau yang hendak ditebus seolah-olah syer-syer itu tidak pernah diterbitkan, dan dengan demikian itu modal syer syarikat itu tidak boleh, bagi maksud-maksud apa-apa fee di bawah Akta ini, disifatkan telah ditambah dengan penerbitan itu, tetapi jika syer-syer baru diterbitkan sebelum penebusan syer-syer lama, syer-syer baru itu tidak boleh, setakat yang berhubungan dengan apa-apa fee di bawah Akta ini, disifatkan telah diterbitkan menurut subseksyen ini melainkan jika syer-syer lama itu telah ditebus dalam masa satu bulan selepas penerbitan syersyer baru itu. (7) Rizab penebusan modal boleh digunakan bagi membayar syer-syer tak diterbitkan bagi syarikat itu yang hendak diterbitkan kepada anggota-anggota syarikat sebagai syer bonus berbayar penuh. (8) Jika sesuatu syarikat luar pesisir menebus manamana syer keutamaan boleh tebus, ia hendaklah, dalam masajempat bełas hari selepas berbuat demikian, memberi Asatubulan KA988 : [Bah.
