(1) Subjectto the provisions of this section, every offshore Offshore company which issues debentures shall keep and maintain at company to maintain its registered office in Labuan register of debenture
(a) a register of holders of the debentures; and holders.
(b) a copy of all the terms of debentures so issued.
(2) Every register of holders of debentures of an offshore company shall, except when duly closed, be open to the inspection of the registered holder of any such debenture and any holder of shares in that company, and shall contain, in the case of ordinary debentures, particulars of the names and addresses of the debenture holders and of the number of debentures held by each of them.

IV, S. 58-59] .(3) For the purposes of this section, a register of holders of debentures shall be deemed to be duly closed if closed in accordance with the provisions contained in the articles, or in the debentures or debenture stock certificates, or in the trust deeds or other documents relating to or securing the debentures, during such period or periods, not exceeding in the aggregate thirty days in any calendar year, as are therein specified.
(4) Any registered holder of debentures issued by, and any holder of shares in, an offshore company shall, at his request, be supplied by the company with a copy of the register of the holders of debentures of the company or any part thereof, on payment of such amount, not exceeding five dollars, as the company may require, but the copy need not include any particulars as to any debenture holder other than his name and address and the debentures held by him.
(5) A copy of any trust deed relating to or for securing any issue of debentures by an offshore company shall be forwarded by the company to a holder of those debentures at his request, on payment of such amount, not exceeding five dollars, as the company may require.
(6) If inspection is refused, or a copy is refused or not forwarded , within a reasonable time (but not more than one month) after a requést has been made pursuant to this section, the offshore company and every officer of the company who is in default shall be guilty of an offence against this Act. Penalty: One thousand ringgit. Default penalty.
(7) Every offshore company which has issued debentures shall, until every such debenture has been redeemed and cancelled, lodge with the Registrar, at least once in every calendar year, a return of debentures setting out the prescribed particulars.

(1) Tertakluk kepada peruntukan-peruntukan seksyen ini, tiap-tiap syarikat luar pesisir yang menerbitkan 1 debentur-debentur hendaklah menyimpan dan menyenggarakan di pejabat berdaftarnya di Labuan—
(a) suatu daftar pemegang-pemegang debentur itu;
(b) suatu salinan kesemua terma bagi debenturdebentur yang diterbitkan demikian.
(2) Tiap-tiap daftar pemegang-pemegang debentur sesuatu syarikat luar pesisir hendaklah, kecuali apabila ditutup dengan sempurnanya, dibuka untuk pemeriksaan pemegang berdaftar mana-mana debentur tersebut dan mana-mana pemegang syer dalam syarikat itu, dan hendaklah mengandungi, dalam hal debentur-debentur biasa, butir-butir mengenai nama dan alamat pemegangpemegang debentur dan jumlah debentur yang dipegang oleh tiap-tiap seorang daripada mereka.
(3) Bagi maksud-maksud seksyen ini, |sesuatu daftar pemegang-pemegang debentur hendąklah disifatkan ditutup dengan sempurnanya jika-ditutup mengikut peruntukan-peruntukan yang terkandung dalam perkaraperkara, atau dalam debentur-debentur atau perakuanperakuan saham debentur, atau dalam suratikatan amanah atau dokumen lain yang berhubungan dengan atau yang mendapatkan debentur-debentur itu, dalam tempoh atau tempoh-tempoh, yang pada agregatnya tidak melebihi tiga : :
[Bah. IV, S. 58-59] puluh hari dalam mana-mana tahun kalendar, sebagaimana yang dinyatakan di dalamnya.
(4) Mana-mana pemegang berdaftar debentur yang diterbitkan oleh, dan mana-mana pemegang syer dalam, sesuatu syarikat luar pesisir hendaklah, atas permintaannya, dibekalkan oleh syarikat itu dengan suatu salinan daftar pemegang-pemegang debentur syarikat itu atau mana-mana bahagiannya, apabila dibayar sesuatu amaun, tidak melebihi lima dolar, sebagaimana yang dikehendaki oleh syarikat itu, tetapi salinan itu tidak perlu meliputi apa-apa butir mengenai mana-mana pemegang debentur selain daripada nama dan alamatnya dan debentur-debentur yang dipegang olehnya.
(5) Suatu salinan mana-mana suratikatan amanah yang berhubungan dengan atau bagi mendapatkan apa-apa penerbitan debentur oleh sesuatu syarikat luar pesisir hendaklah dikemukakan oleh syarikat itu kepada pemegang debentur-debentur itu atas permintaannya, apabila dibayar sesuatu amaun, tidak melebihi lima dolar, sebagaimana yang dikehendaki oleh syarikat itu.
(6) Jika pemeriksaan tidak dibenarkan, atau suatu salinan tidak diberikan atau tidak dikemukakan, dalam masa yang munasabah (tetapi tidak lebih daripada satu bulan) selepas suatu permintaan dibuat menurut seksyen terhadap Akta ini. Penalti: Satu ribu ringgit. Penalti ingkar.
(7) Tiap-tiap syarikat luar pesisir yang menerbitkan debentur-debentur hendaklah, sehingga tiap-tiap debentur itu telah ditebus dan dikenselkan, menyerahkan kepada Pendaftar, sekurang-kurangnya sekali dalam tiap-tiap tahun kalendar, suatu penyata debentur yang menyatakan butir-butir yang ditetapkan.
