s 81
(1) Every offshore company shall, within two months after the allotment of any of its shares or debentures, and within one month after the date on which a transfer (other than such a transfer as the company is, for any reason, entitled to refuse to register and does not register) of any of its shares or debentures is lodged with the company, complete and have ready for delivery all the appropriate certificates and debentures in connection with the allotment or transfer, unless the conditions of issue of the shares or debentures otherwise provide.
(2) If default is made in complying with this section, the ottshore company and every ofticer of the company who is in default shall be guilty of an offence against this Act. Penalty: One thousand ringgit. Default penalty.
(3) If an offshore company on which a notice has been served requiring it to make good any default in complying with the provisions of this section fails to make good the default within twenty-one days after the service of the notice, the Court may, on the application of the person entitled to have the certificate for the shares or debentures delivered to him, direct the company and every officer of the company to make good the default within such time as is specified in the direction, and the direction may provide that all costs and expenses of and incidental to the application shall be borne by the company and by any officer of the company in default in such proportion as the Court thinks fit. : :

(1) Tiap-tiap syarikat luar pesisir hendaklah, dalam masa dua bulan selepas pengumpukan mana-mana syer atau debenturnya, dan dalam masa satu bulan selepas tarikh yang sesuatu pemindahan (selain daripada pemindahan yang syarikat itu, kerana apa-apa sebab, berhak menolak untuk didaftarkan dan tidak mendaftarkan) mana-mana syer atau debenturnya diserahkan kepada syarikat itu, melengkapkan dan menyediakan untuk dihantarserahkan kesemua perakuan dan debentur berkenaan yang berkaitan dengan pengumpukan atau pemindahan itu, melainkan jika syarat-syarat penerbitan syer atau debentur itu memperuntukkan selainnya.
(2) Jika berlaku keingkaran pada mematuhi seksyen terhadap Akta ini. Penalti: Satu ribu ringgit. Penalti ingkar.
(3) Jika sesuatu syarikat luar pesisir yang telah disampaikan notis menghendakinya memperbaiki apaapa keingkaran pada mematuhi peruntukan-peruntukan seksyen ini tidak memperbaiki keingkaran itu dalam masa dua puluh satu hari selepas notis itu disampaikan, Mahkamah boleh, atas permohonan orang yang berhak dihantarserahkan perakuan bagi syer atau debentur itu, mengarahkan syarikat dan tiap-tiap pegawai syarikat itu supaya memperbaiki keingkaran itu dalam masa yang dinyatakan dalam perintah itu, dan arahan itu boleh memperuntukkan bahawa segala kos dan perbelanjaan bagi dan yang bersampingan dengan permohonan itu hendaklah ditanggung oleh syarikat itu dan oleh manamana pegawai syarikat itu yang ingkar mengikut apa-apa kadar yang difikirkan patut oleh Mahkamah.
