s 88
A person shall not be appointed or named as a director or Consent proposed director in the articles of an offshore company or in to act as director. a prospectus unless, before the registration of the articles or the issue of the prospectus, he has, by himself or by his agent authorized in writing for the purpose, signed and caused to be lodged with the Registrar a consent in writing to act as a director.

Seseorang tidak boleh dilantik atau dinamakan sebagai seorang pengarah atau pengarah dicadangkan dalam perkara-perkara suatu syarikat luar pesisir atau suatu prospektus, melainkan jika sebelum pendaftaran perkara-perkara atau pengeluaran prospektus itu, orang itu telah dengan sendirinya atau melalui ejennya yang diberikuasa secara bertulis bagi maksud itu, menandatangani dan menyebabkan diserahkan kepada Pendaftar, suatu persetujuan bertulis untuk bertindak sebagai seorang pengarah.
