s 194 Exception for corporation with knowledge of its intention
(1) A corporation does not contravene subsection 188(2) by entering into a transaction or an agreement in relation to securities other than those of the corporation merely because the corporation is aware that it proposes to enter into or has previously entered into one or more transactions or agreements in relation to those securities.
(2) Subject to subsection (3), a corporation does not contravene subsection 188(2) by entering into a transaction or an agreement in relation to securities other than those of the corporation because an officer of the corporation is aware that it proposes to enter into, or has previously entered into, one or more transactions or agreements in relation to those securities.
(3) Subsection (2) shall not apply unless the officer of the corporation became aware of the matter referred to in that subsection in the course of his duties.
(4) Subject to subsection (5), a person does not contravene subsection 188(2) by entering into a transaction or an agreement on behalf of a corporation in relation to securities other than those of the corporation merely because the person is aware that the corporation proposes to enter into, or has previously entered into, one or more transactions or agreements in relation to those securities.
(5) Subsection (4) shall not apply unless the person became aware of the matters referred to in the course of his duties as an officer of the first-mentioned corporation or in the course of acting as an agent of the first-mentioned corporation.

Kecualian bagi perbadanan yang mempunyai pengetahuan tentang niatnya
(1) Sesuatu perbadanan tidak melanggar subseksyen 188(2) dengan membuat suatu transaksi atau perjanjian berhubung dengan sekuriti selain sekuriti perbadanan itu semata-mata disebabkan oleh perbadanan itu menyedari bahawa ia bercadang untuk membuat atau dahulunya telah membuat satu atau lebih transaksi atau perjanjian berhubung dengan sekuriti itu.
(2) Tertakluk kepada subseksyen (3), sesuatu perbadanan tidak melanggar subseksyen 188(2) dengan membuat suatu transaksi atau perjanjian berhubung dengan sekuriti selain sekuriti perbadanan itu disebabkan seseorang pegawai perbadanan itu menyedari bahawa perbadanan itu bercadang untuk membuat atau dahulunya telah membuat satu atau lebih transaksi atau perjanjian berhubung dengan sekuriti itu.
(3) Subseksyen (2) tidak terpakai melainkan jika pegawai perbadanan itu menyedari tentang perkara yang disebut dalam subseksyen itu dalam penjalanan tugasnya.
(4) Tertakluk kepada subseksyen (5), seseorang tidak melanggar subseksyen 188(2) dengan membuat suatu transaksi atau perjanjian bagi pihak suatu perbadanan berhubung dengan sekuriti selain sekuriti perbadanan itu semata-mata disebabkan orang itu menyedari bahawa perbadanan itu bercadang untuk membuat, atau dahulunya telah membuat satu atau lebih transaksi atau perjanjian berhubung dengan sekuriti itu.
(5) Subseksyen (4) tidak terpakai melainkan jika orang itu menyedari tentang perkara yang disebut dalam penjalanan tugasnya sebagai seorang pegawai perbadanan yang mula-mula disebut itu atau semasa bertindak sebagai seorang ejen perbadanan yang mula-mula disebut itu.
