s 49 Offences by body corporate
Where an offence against any provision of this Act has been committed by a body corporate, any person who at the time of the commission of the offence was a director, manager, secretary or other similar officer of the body corporate or was purporting to act in any such capacity, or was in any manner or to any extent responsible for the management of any of the affairs of such body corporate, or was assisting in such management, shall be deemed to be guilty of that offence unless he proves that the offence was committed without his knowledge, consent or connivance and that he exercised all due diligence to prevent the commission of the offence as he ought to have exercised, having regard to the nature of his functions in that capacity and to all the circumstances.

Kesalahan oleh pertubuhan perbadanan
Jika suatu kesalahan terhadap mana-mana peruntukan Akta ini telah dilakukan oleh suatu pertubuhan perbadanan, mana-mana orang yang pada masa pelakuan kesalahan itu ialah seorang pengarah, pengurus, setiausaha atau pegawai lain yang seumpamanya bagi pertubuhan perbadanan itu atau yang berupa bertindak atas manamana sifat sedemikian, atau yang mengikut apa-apa cara atau sehingga apa-apa takat bertanggunjawab bagi pengurusan apaapa hal-ehwal pertubuhan perbadanan itu, atau yang membantu dalam pengurusan sedemikian, hendaklah disifatkan melakukan kesalahan itu melainkan jika dia membuktikan bahawa kesalahan itu telah dilakukan tanpa pengetahuannya, persetujuannya atau pembiarannya dan bahawa dia telah menjalankan segala usaha yang wajar untuk mengelakkan pelakuan kesalahan itu sebagaimana yang dia patut jalankan, dengan mengambil kira jenis fungsinya atas sifat itu dan segala hal keadaan.
