s 181 Recovery of money consideration from assets acquired or sold before appointment of conservator

(1) For the purpose of this section— “money consideration”, in relation to an acquisition or sale by the affected person, means consideration for the acquisition or sale payable otherwise than by the issue of shares in the affected person; “director” has the same meaning as defined under section 2 of the Companies Act 2016; “value of the asset” includes the value of any goodwill or profits which might have been made from the asset or similar considerations. (2) Where any asset has been acquired by the affected person for a money consideration within a period of two years before the appointment of a conservator under this Act— (a) from a person who was at the time of the acquisition, a director of the affected person; or (b) from a company of which at the time of the acquisition, a person was a director who was also at that time a director of the affected person, the conservator may recover from the person or company from which the asset was acquired any amount by which the money consideration for the acquisition exceeded the value of the asset at the time of its acquisition. (3) Where any asset has been sold by the affected person for a money consideration within a period of two years before the appointment of a conservator under this Act— (a) to a person who was at the time of the sale, a director of the affected person; or (b) to a company of which at the time of the sale, a person was a director who was also at that time a director of the affected person, the conservator may recover from the person or company to which the asset was sold any amount by which the value of the asset at the time of the sale exceeded the money consideration.

Mendapatkan balik balasan wang daripada aset yang diperoleh atau dijual sebelum pelantikan konservator

(1) Bagi maksud seksyen ini— “balasan wang”, berhubung dengan suatu pemerolehan atau jualan oleh orang terjejas, ertinya balasan bagi pemerolehan atau jualan yang kena dibayar selain melalui pengeluaran syer oleh orang terjejas; “pengarah” mempunyai erti yang sama sebagaimana yang ditakrifkan di bawah seksyen 2 Akta Syarikat 2016; “nilai aset” termasuklah nilai bagi apa-apa nama baik atau keuntungan yang mungkin diperoleh daripada aset atau balasan yang seumpama. (2) Jika mana-mana aset telah diperoleh oleh orang terjejas untuk balasan wang dalam tempoh dua tahun sebelum pelantikan seorang konservator di bawah Akta ini— (a) daripada seorang yang pada masa pemerolehan itu, ialah seorang pengarah bagi orang terjejas; atau (b) daripada suatu syarikat yang baginya pada masa pemerolehan itu, seorang yang menjadi pengarahnya adalah juga pengarah bagi orang terjejas, konservator boleh mendapatkan balik daripada orang atau syarikat yang daripadanya aset itu telah diperoleh apa-apa amaun yang balasan wang bagi pemerolehan itu melebihi nilai aset itu pada masa pemerolehannya. (3) Jika apa-apa aset telah dijual oleh orang terjejas bagi sesuatu balasan wang dalam tempoh dua tahun sebelum pelantikan seorang konservator di bawah Akta ini— (a) kepada seorang yang pada masa jualan, ialah seorang pengarah bagi orang terjejas; atau (b) kepada suatu syarikat yang baginya pada masa jualan, seorang yang menjadi pengarahnya adalah juga pengarah bagi orang terjejas, konservator boleh mendapatkan balik daripada orang atau syarikat yang kepadanya aset itu telah dijual apa-apa amaun yang nilai aset itu ketika jualan melebihi balasan wang.
