s 38 Supplemental prospectus or replacement prospectus

(1) This section applies if, after the registration of a prospectus but before its issue, the person who registered or lodged the prospectus becomes aware that— (a) a significant new matter has arisen being a matter the information of which is required by this Act to be disclosed in a prospectus; (b) there is a significant change affecting a matter disclosed in the prospectus; (c) the prospectus contained a material statement that is false or misleading; or (d) there is a material omission from the prospectus. (2) After becoming aware of the matters referred to in subsection (1), the person shall, as soon as practicable, submit a supplemental or replacement prospectus, as the case may be. (3) A supplemental prospectus shall— (a) clearly identify the prospectus to which the supplemental prospectus relates; and (b) contain a statement in bold or coloured print on each page of the supplemental prospectus stating that— (i) it is a supplemental prospectus to be read in conjunction with the original prospectus; and (ii) if other supplemental prospectus have been issued in relation to the same original prospectus, both the original prospectus and previous supplementary prospectus. (4) The supplemental prospectus shall be deemed to be part of the original prospectus to which the supplemental prospectus relates and the provisions under this Chapter regarding the contents of prospectus and liability in respect of false or misleading statements and material omissions in a prospectus shall apply and have effect accordingly. (5) Where a supplemental prospectus has been registered with the Registrar under subsection (1), every copy of the original prospectus shall be issued together with a copy of the supplemental prospectus. (6) A replacement prospectus shall— (a) clearly identify the prospectus which the replacement prospectus replaces; (b) contain a statement in bold or coloured print at the beginning of the prospectus stating that it is a replacement prospectus; and (c) be regarded as replacing the original prospectus previously registered under section 29. (7) Notwithstanding that the original prospectus to which the supplemental or replacement prospectus relates or replaces has been issued, a supplemental or replacement prospectus may be registered for the purpose of subsection (1) if— (a) the original prospectus relates to an invitation or offer which is addressed to an identifiable category of persons to whom the original prospectus is directly communicated by the person making the invitation or offer or by his appointed agent, and a copy of the supplemental prospectus or replacement prospectus is sent to each of those persons in accordance with subsection (8); or (b) the original prospectus relates to an invitation or offer to the general public and a copy of the supplemental prospectus or replacement prospectus is advertised in every newspaper which originally advertised the invitation or offer or calling attention to the invitation or offer in accordance with subsection (8). (8) For the purposes of subsection (7), a notice shall— (a) in the case of paragraph (7)(a), be sent together with a copy of the supplemental prospectus or replacement prospectus to every person referred to in that subsection; (b) in the case of paragraph (7)(b), be advertised together with the supplemental prospectus or replacement prospectus stating that— (i) a copy of the supplemental prospectus or replacement prospectus has been registered with the Registrar; and (ii) every person who has submitted his application prior to the date of the notice is entitled to withdraw his application within fourteen days from the date of the notice and all application money received in respect of the subscription of interest will be refunded in full without interest or profit. (9) This section shall apply to product disclosure statement issued by a management company and any references to “prospectus” shall be construed as references to “product disclosure statement”. (10) Any person who contravenes this section commits an offence and shall, on conviction, be liable to a fine not exceeding one million ringgit or to imprisonment for a term not exceeding three years or to both.

Prospektus tambahan atau prospektus gantian

(1) Seksyen ini terpakai jika, selepas pendaftaran suatu prospektus tetapi sebelum pengeluarannya, orang yang mendaftarkan atau menyerah simpan prospektus itu menyedari bahawa— (a) suatu perkara baharu yang signifikan telah wujud yang menjadi suatu perkara bagi maklumat yang dikehendaki oleh Akta ini untuk dizahirkan dalam suatu prospektus; (b) terdapat perubahan yang signifikan yang menyentuh sesuatu perkara yang dizahirkan dalam prospektus itu; (c) prospektus itu mengandungi suatu pernyataan material yang palsu atau mengelirukan; atau (d) terdapat suatu peninggalan yang material daripada prospektus itu. (2) Selepas menyedari perkara yang disebut dalam subseksyen (1), orang itu hendaklah, secepat yang dapat dilaksanakan, mengemukakan prospektus tambahan atau prospektus gantian, mengikut mana-mana yang berkenaan. (3) Suatu prospektus tambahan hendaklah— (a) mengenal pasti dengan jelas prospektus yang berhubung dengan prospektus tambahan itu; dan (b) mengandungi suatu pernyataan dalam cetakan huruf tebal atau berwarna pada setiap muka surat prospektus tambahan itu yang menyatakan bahawa— (i) prospektus tambahan itu merupakan suatu prospektus tambahan untuk dibaca bersama dengan prospektus asal; dan (ii) jika propektus tambahan lain telah dikeluarkan berhubung dengan prospektus asal yang sama, kedua-dua prospektus asal dan prospektus tambahan terdahulu. (4) Suatu prospektus tambahan hendaklah disifatkan sebagai sebahagian daripada prospektus asal yang berhubung dengan prospektus tambahan itu dan peruntukan di bawah Bab ini mengenai kandungan propektus dan liabiliti berkenaan dengan pernyataan yang palsu atau mengelirukan dan peninggalan yang material dalam suatu prospektus hendaklah terpakai dan berkuat kuasa sewajarnya. (5) Jika suatu prospektus tambahan telah didaftarkan dengan Pendaftar di bawah subseksyen (1), tiap-tiap salinan prospektus asal hendaklah dikeluarkan bersama dengan salinan prospektus tambahan itu. (6) Suatu prospektus gantian hendaklah— (a) mengenal pasti dengan jelas prospektus yang digantikannya; (b) mengandungi pernyataan dalam cetakan huruf tebal atau berwarna pada permulaan prospektus itu yang menyatakan bahawa ia merupakan suatu prospektus gantian; dan (c) dianggap sebagai menggantikan prospektus asal yang didaftarkan terdahulu di bawah seksyen 29. (7) Walaupun prospektus asal yang berkaitan dengan prospektus tambahan atau prospektus gantian itu atau yang menggantikan telah dikeluarkan, suatu prospektus tambahan atau prospektus gantian boleh didaftarkan bagi maksud subseksyen (1) jika— (a) prospektus asal itu berhubung dengan suatu pelawaan atau tawaran yang ditujukan kepada golongan orang yang boleh dikenal pasti yang kepadanya prospektus asal itu disampaikan secara langsung oleh orang yang membuat pelawaan atau tawaran itu atau oleh ejennya yang dilantik, dan salinan prospektus tambahan atau prospektus gantian itu dihantar kepada setiap orang itu mengikut subseksyen (8); atau (b) prospektus asal berhubung dengan suatu pelawaan atau tawaran kepada orang awam dan suatu salinan prospektus tambahan atau prospektus gantian itu diiklankan dalam tiap-tiap surat khabar yang pada asalnya mengiklankan pelawaan atau tawaran itu atau yang menarik perhatian kepada pelawaan atau tawaran itu mengikut subseksyen (8). (8) Bagi maksud subseksyen (7), suatu notis hendaklah— (a) dalam hal perenggan (7)(a), dihantar bersama dengan suatu salinan prospektus tambahan atau prospektus gantian kepada tiap-tiap orang yang disebut dalam subseksyen itu; (b) dalam hal perenggan (7)(b), diiklankan bersama dengan prospektus tambahan atau prospektus gantian yang menyatakan bahawa— (i) suatu salinan prospektus tambahan atau prospektus gantian telah didaftarkan dengan Pendaftar; dan (ii) tiap-tiap orang yang telah mengemukakan permohonannya sebelum tarikh notis itu berhak untuk menarik balik permohonannya dalam masa empat belas hari dari tarikh notis itu dan semua wang permohonan yang diterima berkenaan dengan langganan kepentingan itu akan dibayar balik sepenuhnya tanpa faedah atau keuntungan. (9) Seksyen ini hendaklah terpakai bagi pernyataan penzahiran produk yang dikeluarkan oleh syarikat pengurusan dan apa-apa sebutan mengenai “prospektus” hendaklah ditafsirkan sebagai sebutan mengenai “pernyataan penzahiran produk”. (10) Mana-mana orang yang melanggar seksyen ini melakukan suatu kesalahan dan boleh, apabila disabitkan, didenda tidak melebihi satu juta ringgit atau dipenjarakan selama tempoh tidak melebihi tiga tahun atau kedua-duanya.
