(1) An offshore company may, at a meeting of members of which special notice has been given to the auditor and the Registrar, but not otherwise, remove an auditor from office, but shall, at that meeting at which the auditor is removed or at a meeting of members held within one month thereafter, appoint an approved auditor to take the place of the auditor so removed.
(2) An auditor of an offshore company may, if he is not a sole auditor, resign at any time but a sole auditor of an offshore company may only resign at a meeting of members.
(3) If an auditor gives notice in writing to the directors of an offshore company that he desires to resign, the directors shall, as soon as is practicable, call a meeting of members of the company for the purpose of appointing an auditor in place of the auditor who desires to resign, and on the appointment of another auditor, the resignation shall take effect.
(4) An offshore company shall, within thirty days of any change in the auditor of the company, lodge with the Registrar a notice thereof in the prescribed form and such notice shall be accompanied by the new auditor's consent.

(1) Suatu syarikat luar pesisir boleh, di suatu Pemberhentian mesyuarat anggota-anggota yang notis khas mengenainya dan perletakan telah diberi kepada juruaudit dan Pendaftar, tetapi tidak juruauditsebaliknya, memberhentikan seorang juruaudit daripada juruaudit. jawatannya, tetapi hendaklah di mesyuarat di mana juruaudit itu diberhentıkan atau di suatu mesyuarat anggota-anggota yang diadakan dalam masa sebulan kemudiannya, melantik seorang juruaudit diluluskan untuk mengambil tempat juruaudit yang diberhentikan itu.
(2) Seorang juruaudit suatu syarikat luar pesisir boleh, jika dia bukannya juruaudit tunggal, meletakkan jawatannya pada bila-bila masa tetapi seorang juruaudit tunggal suatu syarikat luar pesisir boleh meletakkan jawatannya di suatu mesyuarat anggota-anggota sahaja.
(3) Jika seorang juruaudit memberi notis bertulis kepada pengarah-pengarah suatu syarikat luar pesisir bahawa dia berhasrat untuk meletakkan jawatannya, pengarah-pengarah hendaklah, dengan seberapa segera yang praktik, memanggil suatu mesyuarat anggotaanggota syarikat itu bagi maksud melantik seorang juruaudit bagi menggantikan juruaudit yang berhasrat untuk meletakkan jawatannya, dan apabila juruaudit yang lain telah dilantik, perletakan jawatannya itu akan berkuatkuasa.
(4) Suatu syarikat luar pesisir hendaklah, dalam masa tiga puluh hari daripada pertukaran juruaudit syarikat itu, menyerahkan kepada Pendaftar suatu notis mengenainya dalam borang yang ditetapkan dan notis itu hendaklah disertai dengan persetujuan juruaudit baru itu.
