s 37
(1) A prospectus inviting subscription for or purchase Expert's of shares in or debentures of an offshore company or a cssueott foreign offshore company and including a statement ponspictus purporting to be made by an expert or to be based on a statement made by an expert shall not be issued unless—- y hin
(a) he has given and has not, before the delivery of a copy of the prospectus for registration, withdrawn his written consent to the issue thereof with the statement included in the form and context in which it is included; and
(b) there appears in the prospectus a statement that he has given and not withdrawn his consent.
(2) If ariy prospectus is issued by an offshore company or a foreign offshore company in contravention of this section, the company and every person who is knowingly a party to the issue thereof shall be guilty of an offence against this Act. ringgit or both.

(1) . Sesuatu prospektus yang mempelawa mohon beli Persetujuan atau pembelian syer-syer dalam atau debentur-debentur pengeluaran • bagi sesuatu syarikat luar pesisir atau sesuatu syarikat luar prospektus pesisir asing dan termasuk suatu pernyataan yang nanndungi dikatakan dibuat oleh seorang pakar tidak boleh pernyataan olehnya. dikeluarkan melainkan jika—
(a) pakar itu telah memberi persetujuannya dan telah tidak, sebelum suatu salinan prospektus dihantarserah untuk pendaftaran, menarik balik persetujuan bertulisnya kepada pengeluaran prospektus itu berserta pernyataan yang dimasukkan mengikut bentuk dan konteks yang ianya dimasukkan; dan
(b) nyata terdapat dalam prospektus itu suatu pernyataan bahawa pakar itu telah memberi dan telah tidak menarik balik persetujuannya itu.
(2) Jika mana-mana prospektus dikeluarkan oleh sesuatu syarikat luar pesisir atau syarikat luar pesisir asing berlanggaran dengan seksyen ini, syarikat itu dan tiap-tiap orang yang dengan disedarinya menjadi suatu pihak kepada pengeluaran prospektus itu adalah melakukan suatu kesalahan terhadap Akta ini. ringgit atau kedua-duanya.
