s 61
(1) Every offshore company which offers debentures to Tebenefor the public for subscription or purchase under this Act shall make provision in those debentures, or in a trust deed relating to those debentures, for the appointment of a trust company as trustee for the holders of the debentures.
(2) A borrowing company shall not allot any debentures until such time as a trust company has been appointed trustee for the holders of those debentures.
(3) If default is made by a borrowing company in complying with any provision of this section, the company and every officer of the company who is in default shall be guilty of an offence against this Act.

(4) No person, other than a trust company, shall act as trustee for the holders of debentures.

(1) Tiap-tiap syarikat luar pesisir yang menawarkan Pemegang debentur-debentur kepada awam untuk dipohon beli atau amanah bagi pemegangdibeli di bawah Akta ini hendaklah membuat peruntukan dalam debentur-debentur itu, atau dalam suratikatan debentur. amanah yang berhubungan dengan debentur-debentur itu, bagi perlantikan suatu syarikat amanah sebagai pemegang amanah bagi pemegang-pemegang debentur.
(2) Sesuatu syarikat peminjam tidak boleh mengumpukkan mana-mana debentur sehingga suatu syarikat amanah telah dilantik sebagai pemegang amanah bagi pemegang-pemegang debentur itu.
(3) Jika berlaku keingkaran oleh sesuatu syarikat peminjam pada mematuhi mana-mana peruntukan seksyen ini, syarikat itu dan tiap-tiap pegawai syarikat itu yang ingkar adalah melakukan suatu kesalahan terhadap Akta ini.
(4) Tiada seorang pun, seláin daripada suatu syarikat amanah, boleh bertindak sebagai pemegang amanah bagi pemegang-pemegang debentur.
