s 74

(1) Where the management company under a deed is in Winding uf liquidation or where, in the opinion of the trustee or ofschemes representative, the management company has ceased to carry on business or has, to the prejudice of holders of interests to which the deed relates, failed to comply with the deed, the trustee or representative shall summon a meeting of the holders. (2) A meeting under subsection (1) shall be summoned— (a) by sending by post notice of the proposed meeting, at least twenty-one days before the proposed meeting, to each holder at his last known address, or, in the case of joint holders, to the joint holder whose name stands first in the company's records; and (b) by publishing, at least twenty-one days before the proposed meeting, an advertisement giving notice of the meeting in a newspaper circulating in Labuan. (3) If at any such meeting a resolution is passed by a majority in number representing three-fourths in value of the holders of the interests present and voting, either in person or by proxy, at the meeting that the undertaking, scheme, enterprise, contract or arrangement to which the deed relates be wound up, the trustee or representative shall apply to the Court for an order confirming the resolution. (4) On an application by the trustee or representative the Court may, if it is satisfied that it is in the interest of the holders of the interests, confirm the resolution and may make such orders as it thinks necessary or expedient for the effective winding up of the undertaking, scheme, enterprise, contract or arrangement.

(1) Jika syarikat pengurusan di bawah suatu Penggulungan skim-skim, suratıkatan dilikuidasıkan atau jika, pada pendapat dsb. pemegang amanah atau wakil, syarikat pengurusan itu ....-- [Bah. IV, S. 74] tidak lagi menjalankan perniagaan atau telah, dengan menjejaskan pemegang-pemegang kepentingan yang dimaksudkan oleh suratikatan itu, tidak mematuhi suratikatan itu, pemegang amanah atau wakil itu hendaklah memanggil suatu mesyuarat pemegangpemegang itu. (2) Sesuatu mesyuarat di bawah subseksyen (1) hendaklah dipanggil— (a) dengan menghantarkan melalui pos, notis mengenai mesyuarat yang dicadangkan, sekurang-kurangnya dua puluh satu hari sebelum mesyuarat yang dicadang itu, kepada setiap pemegang di alamatnya yang terakhir diketahui, atau, dalam hal pemegang bersama, kepada pemegang bersama yang namanya didapati terdahulu dalam rekod-rekod syarikat; (b) dengan menyiarkan, sekurang-kurangnya dua puluh satu hari sebelum mesyuarat yang dicadangkan, suatu iklan yang memberi notis mengenai mesyuarat itu dalam suatu akhbar yang diedarkan di Labuan. (3) Jika di mana-mana mesyuarat sedemikian suatu ketetapan diluluskan oleh sebilangan majoriti yang mewakili tiga perempat mengikut nilai daripada pemegang-pemegang kepentingan yang hadır dan yang mengundi, sama ada dengan sendiri atau melalui proksi, di mesyuarat itu bahawa pengusahaan, skim, perusahaan, kontrak atau perkiraan yang dimaksudkan oleh suratikatan itu digulung, pemegang amanah atau wakil hendaklah memohon kepada Mahkamah untuk mendapatkan suatu perintah mengesahkan ketetapan itu. (4) Apabila permohonan dibuat oleh pemegang amanah atau wakil, Mahkamah boleh, jika ia berpuas hati bahawa adalah bagi kepentingan pemegang-pemegang kepentingan itu, mengesahkan ketetapan itu dan boleh membuat apa-apa perintah yang difikirkannya perlu atau suaimanfaat bagi penggulungan berkesan akan pengusahaan, skim, perusahaan, kontrak atau perkiraan itu. : [Bah.
