s 44 Special resolution for reduction of share capital

(1) Subject to confirmation by the Court, a Langkawi company may, if so authorized by its articles of association, by special resolution reduce its share capital in any way and in particular, without limiting the generality of the foregoing, mayβ€” (a) extinguish or reduce the liability on any of its shares in respect of share capital not paid up; (b) cancel any paid-up capital which is lost or unrepresented by available assets; or (c) pay off any paid-up share capital which is in excess of the needs of the company, or which it is otherwise in the interests of the company as a whole to have paid off, and may, so far as necessary, alter its memorandum by reducing the amount of its share capital and of its shares accordingly. (2) Where the proposed reduction of share capital involves the diminution of liability in respect of unpaid share capital or the payment to any shareholder of any paid-up share capital, and in any other case if the Court so directsβ€” (a) every creditor of the Langkawi company who, at the time fixed by the Court, is entitled to any debt or claim which, if that date were the commencement of the winding up of the company, would be admissible in proof against the company, shall be entitled to object to the reduction; (b) the Court, unless satisfied by statutory declaration by the directors that there are no such creditors, shall settle a list of creditors so entitled to object, and for that purpose shall ascertain, as far as possible without requiring an application from any creditor, the names of those creditors and the nature and amount of their debts or claims, and may publish notices fixing a final day on or before which creditors not entered on the list may claim to be so entered; and (c) where a creditor entered on the list whose debt or claim is not discharged or has not been determined does not consent to the reduction, the Court may dispense with the consent of that creditor on the Langkawi company securing payment of his debt or claim by appropriating, as the Court directsβ€” (i) if the company admits the full amount of the debt or claim or, although not admitting it, is willing to provide for it, the full amount of the debt or claim; or (ii) if the company does not admit, and is not willing to provide for it, the full amount of the debt or claim, or if the amount is contingent or not ascertained, an amount fixed by the Court after the like inquiry and adjudication as if the company were being wound up by the Court. (3) Notwithstanding the provisions of subsection (2), the Court may, having regard to the circumstances of the case, direct that all or any of the provisions of that subsection shall not apply as regards any class of creditors. (4) The Court, if satisfied with respect to every creditor who under subsection (2) is entitled to object, that either his consent to the reduction has been obtained, or his debt or claim has been discharged or has been determined or has been secured, may make an order confirming the reduction on such terms and conditions as it thinks fit, and may require the Langkawi company to publish as the Court directs the reasons for the reduction or such other information as the Court thinks expedient, and, if the Court thinks fit, the causes which led to the reduction. (5) An order made under subsection (4) shall show the amount of the share capital of the Langkawi company as altered by the order, the number of shares into which it is to be divided and the amount of each share and the amount, if any, at the date of the order, deemed to be paid up on each share. (6) On the lodging of an office copy of the order with the Registrar, the resolution for reducing share capital as confirmed by the order so lodged shall take effect. (7) The certificate of the Registrar shall be conclusive evidence that all the requirements of this Act with respect to reduction of share capital have been complied with and that the share capital of a Langkawi company is as stated in the order. (8) On the lodging of the copy of the order, the particulars shown in the order pursuant to subsection (5) shall be deemed to be substituted for the corresponding particulars in the memorandum, and such substitution and any addition ordered by the Court to be made in the name of the Langkawi company shall (in the case of any addition to the name, for such period as is specified in the order of the Court) be deemed to be an alteration of the memorandum for the purposes of this Act. (9) A member, past or present, shall not be liable in respect of any share to any call or contribution exceeding in amount the difference between the amount of the share as fixed by the order and the amount paid, or the reduced amount which is to be deemed to have been paid on the share, as the case may be, but where any creditor entitled to object to the reduction is, by reason of his ignorance of the proceedings for reduction, or of their nature and effect upon his claim, not entered on the list of creditors, and after the reduction the Langkawi company is unable, within the meaning of the provisions of this Act with respect to winding up by the Court, to pay the amount of his debt or claimβ€” (a) every person who was a member of that Langkawi company at the date of the lodging of the copy of the order of the Court for reduction shall be liable to contribute for the payment of that debt or claim to an amount not exceeding that which he would have been liable to contribute if the company had commenced to be wound up on the day before that date; and (b) if that Langkawi company is wound up, the Court, on the application of any such creditor and proof of his ignorance of the proceedings for reduction or of their nature and effect upon his claim, may settle a list of persons so liable to contribute, and make and enforce calls and orders on the contributories settled on the list, as if they were ordinary contributories in a winding up, but nothing in this subsection shall affect the rights of the contributories among themselves. (10) Any officer of a Langkawi company whoβ€” (a) wilfully conceals the name of any creditor entitled to object to the reduction; (b) wilfully misrepresents the nature or the amount of the debt or claim of any creditor; or (c) aids, abets or is party to any such concealment or misrepresentation, shall be guilty of an offence against this Act. Penalty: Ten thousand ringgit.

Ketetapan khas bagi pengurangan modal syer

(1) Tertakluk kepada pengesahan oleh Mahkamah, sesuatu syarikat Langkawi boleh, jika dibenarkan sedemikian oleh perkara persatuannya, melalui ketetapan khas mengurangkan modal syernya mengikut apa-apa cara dan khususnya, tanpa mengehadkan keluasan makna yang disebut di atas, bolehβ€” (a) menghapuskan atau mengurangkan liabiliti ke atas manamana syernya berkenaan dengan modal syer yang tidak berbayar; (b) mengkenselkan mana-mana modal berbayar yang hilang atau yang tidak diwakili oleh aset yang ada; atau (c) membayar mana-mana modal syer berbayar yang melebihi keperluan syarikat itu, atau yang selainnya adalah bagi kepentingan syarikat itu keseluruhannya untuk dibayar, dan boleh, setakat yang perlu, mengubah memorandumnya dengan mengurangkan amaun modal syernya dan amaun syernya dengan sewajarnya. (2) Jika pengurangan modal syer yang dicadangkan itu melibatkan pengurangan liabiliti berkenaan dengan modal syer tidak berbayar atau pembayaran kepada mana-mana pemegang syer mana-mana modal syer berbayar, dan dalam mana-mana hal lain jika Mahkamah mengarahkan demikianβ€” (a) tiap-tiap pemiutang syarikat Langkawi yang, pada tarikh yang ditetapkan oleh Mahkamah, berhak terhadap manamana hutang atau tuntutan yang, jika tarikh itu adalah permulaan bagi penggulungan syarikat itu, boleh diterima sebagai bukti terhadap syarikat itu, berhak membantah pengurangan itu; (b) Mahkamah, melainkan jika berpuas hati dengan akuan berkanun oleh pengarah bahawa tidak terdapat pemiutang sedemikian, hendaklah menetapkan suatu senarai pemiutang yang berhak untuk membantah, dan bagi maksud itu hendaklah menentukan, seboleh-bolehnya tanpa menghendaki suatu permohonan daripada manamana pemiutang, nama pemiutang itu dan jenis serta amaun hutang atau tuntutannya, dan boleh menyiarkan notis yang menetapkan hari terakhir yang pada atau sebelumnya pemiutang yang tidak dicatatkan dalam senarai itu boleh menuntut untuk dicatatkan sedemikian; dan (c) jika seorang pemiutang yang dicatatkan dalam senarai itu yang hutang atau tuntutannya tidak dijelaskan atau belum ditentukan tidak bersetuju dengan pengurangan itu, Mahkamah boleh mengetepikan persetujuan pemiutang itu apabila syarikat Langkawi itu menjamin pembayaran hutang atau tuntutannya dengan mengagihkan, sebagaimana yang diarahkan oleh Mahkamahβ€” (i) jika syarikat itu mengakui amaun penuh hutang atau tuntutan itu atau, walaupun tidak mengakuinya, bersetuju untuk memperuntukkan baginya, amaun penuh hutang atau tuntutan itu; atau (ii) jika syarikat itu tidak mengakui, dan tidak bersedia untuk memperuntukkan baginya, amaun penuh hutang atau tuntutan itu, atau jika amaun itu adalah kontinjen atau belum ditentukan, suatu amaun yang ditetapkan oleh Mahkamah selepas siasatan dan hukuman yang seumpamanya seolah-olah syarikat itu digulungkan oleh Mahkamah. (3) Walau apa pun peruntukan subseksyen (2), Mahkamah boleh, dengan mengambil kira hal keadaan kes itu, mengarahkan bahawa semua atau mana-mana peruntukan subseksyen itu tidak terpakai berkaitan dengan mana-mana kelas pemiutang. (4) Mahkamah, jika berpuas hati berkenaan dengan tiap-tiap pemiutang yang di bawah subseksyen (2) berhak untuk membantah, bahawa sama ada persetujuannya terhadap pengurangan itu telah diperoleh, atau hutang atau tuntutannya telah dijelaskan atau telah ditentukan atau telah dijamin, boleh membuat suatu perintah yang mengesahkan pengurangan itu atas apa-apa terma dan syarat yang difikirkannya sesuai, dan boleh menghendaki syarikat Langkawi itu untuk menyiarkan sebagaimana yang diarahkan oleh Mahkamah sebab-sebab bagi pengurangan itu atau apa-apa maklumat lain sebagaimana yang difikirkan suai manfaat oleh Mahkamah, dan, jika difikirkan sesuai oleh Mahkamah, sebab-sebab yang membawa kepada pengurangan itu. (5) Suatu perintah yang dibuat di bawah subseksyen (4) hendaklah menunjukkan amaun modal syer syarikat Langkawi itu sebagaimana yang diubah oleh perintah itu, bilangan syer yang kepadanya syer itu hendak dibahagikan dan amaun setiap syer dan amaun, jika ada, pada tarikh perintah itu, yang disifatkan sebagai berbayar ke atas setiap syer. (6) Apabila salinan pejabat perintah itu diserahkan kepada Pendaftar, ketetapan bagi pengurangan modal syer sebagaimana yang disahkan oleh perintah yang diserahkan sedemikian hendaklah berkuat kuasa. (7) Perakuan Pendaftar hendaklah menjadi keterangan konklusif bahawa semua kehendak Akta ini berkenaan dengan pengurangan modal syer telah dipatuhi dengan dan bahawa modal syer suatu syarikat Langkawi adalah sebagaimana yang dinyatakan dalam perintah itu. (8) Apabila salinan perintah itu diserahkan, butir-butir yang ditunjukkan dalam perintah itu menurut subseksyen (5) hendaklah disifatkan sebagai digantikan dengan butir-butir yang bersamaan dalam memorandum, dan penggantian sedemikian dan apa-apa tambahan yang diperintahkan oleh Mahkamah supaya dibuat pada nama syarikat Langkawi itu hendaklah (dalam hal apa-apa tambahan kepada nama, untuk tempoh sebagaimana yang dinyatakan dalam perintah Mahkamah itu) disifatkan sebagai suatu perubahan kepada memorandum bagi maksud Akta ini. (9) Seseorang anggota, yang dahulu atau yang ada sekarang, tidak bertanggungan berkenaan dengan mana-mana syer terhadap apa-apa panggilan atau caruman yang melebihi dalam amaunnya perbezaan antara amaun syer sebagaimana yang ditetapkan oleh perintah itu dan amaun yang dibayar, atau amaunnya yang dikurangkan yang disifatkan sebagai telah dibayar atas syer itu, mengikut mana-mana yang berkenaan, tetapi jika mana-mana pemiutang yang berhak membantah pengurangan itu, oleh sebab kejahilannya tentang prosiding bagi pengurangan itu, atau tentang jenis dan kesan prosiding itu terhadap tuntutannya, tidak dicatatkan dalam senarai pemiutang, dan selepas pengurangan itu syarikat Langkawi itu tidak dapat, mengikut pengertian peruntukan Akta ini berkenaan dengan penggulungan oleh Mahkamah, membayar amaun hutang atau tuntutannyaβ€” (a) tiap-tiap orang yang menjadi anggota syarikat Langkawi itu pada tarikh penyerahan salinan perintah Mahkamah bagi pengurangan itu bertanggungan untuk menyumbang bagi pembayaran hutang atau tuntutan itu sebanyak amaun yang tidak melebihi amaun yang dia sepatutnya bertanggungan menyumbang jika syarikat itu telah mula digulung pada hari sebelum tarikh itu; dan (b) jika syarikat Langkawi itu digulung, Mahkamah, atas permohonan mana-mana pemiutang itu dan apabila terbukti kejahilannya mengenai prosiding bagi pengurangan itu atau mengenai jenis dan kesan prosiding itu terhadap tuntutannya, boleh menetapkan suatu senarai orang yang bertanggungan menyumbang, dan membuat serta menguatkuasakan panggilan dan perintah ke atas pencarum yang ditetapkan dalam senarai itu, seolah-olah dia adalah pencarum biasa dalam suatu penggulungan, tetapi tiada apa-apa jua pun dalam subseksyen ini boleh menyentuh hak pencarum-pencarum itu sesama mereka sendiri. (10) Mana-mana pegawai suatu syarikat Langkawi yangβ€” (a) dengan sengaja menyembunyikan nama mana-mana pemiutang yang berhak untuk membantah terhadap pengurangan itu; (b) dengan sengaja menyalah nyatakan jenis atau amaun hutang atau tuntutan mana-mana pemiutang; atau (c) membantu, bersubahat atau menjadi pihak kepada manamana penyembunyian atau salah nyataan itu, melakukan suatu kesalahan terhadap Akta ini. Penalti: Sepuluh ribu ringgit.
