s 222 Compulsory acquisition
(1) Subject to section 224, where a take-over offer by an offeror to acquire all the shares or all the shares in any particular class in an offeree has, within four months after the making of the take-over offer, been accepted by the holders of not less than nine-tenths in the nominal value of those shares or of the shares of that class (including shares already held at the date of the take-over offer by the offeror or persons acting in concert), the offeror may, at any time within two months from the date
the nine-tenths in the nominal value of those shares have been achieved, give notice in the manner prescribed under the Code to any dissenting shareholder that it desires to acquire his shares together with a copy of a statutory declaration by the offeror that the conditions for the giving of the notice are satisfied.
(2) Where an offeror has given notice to any dissenting shareholder that it desires to acquire his shares pursuant to subsection (1), the dissenting shareholder shall be entitled to require the offeror, by a demand in writing served on the offeror within one month from the date on which the notice is given, to supply him with a statement in writing of the names and addresses of all other dissenting shareholders as shown in the register of members and the offeror shall not be entitled or bound to acquire the shares of the dissenting shareholders until fourteen days after the posting of the statement of those names and addresses to the dissenting shareholder.
(3) Upon the giving of the notice and statutory declaration under subsection (1), or where subsection (2) applies, upon the provisions in subsection (2) being complied with, the offeror shall in accordance with subsection (7) acquire those shares on the terms of the take-over offer or, if the take-over offer contained two or more alternative sets of terms, on the terms which were specified in the take-over offer as being applicable to the dissenting shareholders.
(4) A person commits an offence if he—
(a) sends a copy of a notice or statutory declaration under subsection (1) which is not in the prescribed manner; or
(b) makes a statutory declaration pursuant to subsection (1) or sends a statement pursuant to subsection (2), knowing that the declaration or the statement, as the case may be, to be false, or without having reasonable grounds for believing it to be true.
(5) Where a person is charged for an offence under subsection
(4), it is a defence for him to prove that he took reasonable steps for securing compliance with that subsection.
(6) Where, during the period within which a take-over offer can be accepted, the offeror acquires or contracts to acquire any of the shares to which the take-over offer relates, otherwise than by virtue of acceptances of the take-over offer, then if—
(a) the value of the consideration for which they are acquired or contracted to be acquired (“the acquisition consideration”) does not at that time exceed the value of the consideration specified in the terms of the take-over offer; or
(b) the terms of the take-over offer are subsequently revised so that when the revision is announced the value of the acquisition consideration at the time mentioned in paragraph (a) no longer exceeds the value of the consideration specified in those terms,
the offeror shall be treated, for the purposes of this section, as having acquired or contracted to acquire those shares by virtue of acceptances of the take-over offer but in relation to any other case those shares shall be treated as excluded from those to which the take-over offer relates.
(7) Subject to section 224, where a notice has been given by the offeror under subsection (1), the offeror shall, after the expiration of one month after the date on which the notice has been given, or where subsection (2) applies after fourteen days from the date the statement has been posted to the dissenting shareholder—
(a) send a copy of the notice to the offeree together with an instrument of transfer executed on behalf of all such dissenting shareholders by the offeror; and
(b) pay, allot or transfer to the offeree the amount or other consideration for the shares to which the notice relates,
and the offeree shall thereupon register the offeror as the holder of those shares.
(8) Any sums received by the offeree under this section shall be paid into a separate bank account, and any such sums and any other consideration so received shall be held by that offeree in trust for the persons entitled to the shares in respect of which the sum or other consideration was received.
(9) Where any consideration other than cash is held in trust by a company for any person under this section, it may, after the expiration of ten years from the date on which the consideration is paid, allotted or transferred to it, transfer the same to the Minister.
(10) The Minister shall sell or dispose of any consideration received under subsection (9) in such manner as he thinks fit and shall deal with the proceeds of the sale or disposal as if it were monies paid to him pursuant to the law relating to unclaimed monies.

(1) Tertakluk kepada seksyen 224, jika sesuatu tawaran pengambilalihan oleh seseorang pembuat tawaran untuk memperoleh semua syer atau semua syer dalam mana-mana kelas tertentu penerima tawaran telah, dalam masa empat bulan selepas membuat tawaran pengambilalihan itu, diterima oleh pemegang tidak kurang daripada sembilan per sepuluh nilai nominal syer itu atau syer daripada kelas itu (termasuk syer yang telah dipegang pada tarikh yang penawaran pengambilalihan itu oleh pembuat tawaran atau orang yang bertindak bersama-sama), pembuat tawaran itu boleh, pada bila-bila masa dalam masa dua bulan dari tarikh sembilan per sepuluh nilai nominal syer itu telah dicapai, memberikan notis mengikut cara yang ditetapkan di bawah Kod kepada mana-mana pemegang syer menentang bahawa ia berhasrat memperoleh syernya bersama dengan suatu salinan akuan berkanun oleh pembuat tawaran itu bahawa syarat bagi pemberian notis itu telah dipenuhi.
(2) Jika seseorang pembuat tawaran telah memberikan notis kepada mana-mana pemegang syer menentang bahawa ia berhasrat memperoleh syernya menurut subseksyen (1), pemegang syer menentang itu berhak menghendaki pembuat tawaran itu, dengan permintaan secara bertulis yang disampaikan kepada pembuat tawaran itu dalam masa satu bulan dari tarikh yang notis itu diberikan, membekalkan kepadanya suatu pernyataan bertulis mengenai nama dan alamat semua pemegang syer menentang yang lain sebagaimana yang ditunjukkan dalam daftar anggota dan pembuat tawaran itu tidak berhak atau terikat untuk memperoleh syer pemegang syer menentang itu sehingga empat belas hari selepas pernyataan mengenai nama dan alamat itu diposkan kepada pemegang syer menentang itu.
(3) Apabila notis dan akuan berkanun diberikan di bawah subseksyen (1), atau jika subseksyen (2) terpakai, apabila peruntukan dalam subseksyen (2) dipatuhi, pembuat tawaran mengikut subseksyen (7) memperoleh syer itu atas terma tawaran pengambilalihan itu atau, jika tawaran pengambilalihan itu mengandungi dua atau lebih set terma alternatif, atas terma yang dinyatakan dalam tawaran pengambilalihan itu sebagaimana yang terpakai bagi pemegang syer menentang itu.
(4) Mana-mana orang melakukan suatu kesalahan jika dia—
(a) menghantar suatu salinan notis atau akuan berkanun di bawah subseksyen (1) yang tidak mengikut cara yang ditetapkan; atau
(b) membuat suatu akuan berkanun menurut subseksyen (1) atau menghantar pernyataan menurut subseksyen (2), dengan mengetahui bahawa akuan atau pernyataan itu, mengikut mana-mana yang berkenaan, adalah palsu, atau tanpa mempunyai alasan yang munasabah untuk mempercayai bahawa ia adalah benar.
(5) Jika mana-mana orang dipertuduh atas suatu kesalahan di bawah subseksyen (4), menjadi pembelaan bagi orang itu untuk membuktikan bahawa dia telah mengambil langkah yang munasabah untuk memastikan pematuhan subseksyen itu.
(6) Jika, semasa tempoh yang dalamnya suatu tawaran pengambilalihan boleh diterima, pembuat tawaran memperoleh atau membuat kontrak untuk memperoleh mana-mana syer yang dimaksudkan oleh tawaran pengambilalihan itu, selain menurut penerimaan tawaran pengambilalihan itu, maka jika—
(a) nilai balasan yang baginya syer itu diperoleh atau dibuat kontrak untuk diperoleh (“balasan pemerolehan”) tidak pada masa itu melebihi nilai balasan yang ditentukan dalam terma tawaran pengambilalihan itu; atau
(b) terma tawaran pengambilalihan itu kemudiannya disemak semula supaya apabila semakan itu diumumkan nilai balasan pemerolehan itu pada masa yang disebut dalam perenggan (a) tidak lagi melebihi nilai balasan yang ditentukan dalam terma itu,
pembuat tawaran itu hendaklah dianggap, bagi maksud seksyen ini, sebagai telah memperoleh atau membuat kontrak untuk memperoleh syer itu menurut penerimaan tawaran pengambilalihan itu tetapi berhubung dengan mana-mana hal lain syer itu hendaklah dianggap sebagai tidak termasuk dalam syer yang dimaksudkan oleh tawaran pengambilalihan itu.
(7) Tertakluk kepada seksyen 224, jika suatu notis telah diberikan oleh pembuat tawaran di bawah subseksyen (1), pembuat tawaran hendaklah, selepas habis tempoh satu bulan dari tarikh notis itu
diberikan, atau jika subseksyen (2) terpakai selepas empat belas hari dari tarikh pernyataan itu diposkan kepada pemegang syer menentang—
(a) menghantar suatu salinan notis kepada penerima tawaran bersama dengan suatu surat cara pemindahan yang disempurnakan bagi pihak semua pemegang syer menentang itu oleh pembuat tawaran itu; dan
(b) membayar, menguntukkan atau memindahkan amaun atau balasan lain kepada penerima tawaran itu bagi syer yang dimaksudkan oleh notis itu,
dan penerima tawaran itu hendaklah sesudah itu mendaftarkan pembuat tawaran itu sebagai pemegang syer itu.
(8) Apa-apa jumlah wang yang diterima oleh penerima tawaran di bawah seksyen ini hendaklah dibayar ke dalam akaun bank yang berasingan, dan apa-apa jumlah wang itu dan apa-apa balasan lain yang diterima sedemikian hendaklah dipegang oleh penerima tawaran itu sebagai amanah bagi orang yang berhak kepada syer itu yang mengenainya jumlah wang atau balasan lain itu diterima.
(9) Jika apa-apa balasan selain wang tunai dipegang sebagai amanah oleh suatu syarikat bagi mana-mana orang di bawah seksyen ini, ia boleh, selepas habis tempoh sepuluh tahun dari tarikh balasan itu dibayar, diuntukkan atau dipindahkan kepadanya, memindahkan balasan itu kepada Menteri.
(10) Menteri hendaklah menjual atau melupuskan apa-apa balasan yang diterima di bawah subseksyen (9) mengikut apa-apa cara yang difikirkannya patut dan hendaklah menguruskan hasil jualan atau pelupusan itu seolah-olah ia ialah wang yang dibayar kepadanya menurut undang-undang yang berhubungan dengan wang tidak dituntut.
