s 246 Criminal liability for false statements, etc., in prospectus
(1) No person shall authorize or cause the issue of a prospectus which contains—
(a) any statement or information that is false or misleading; or
(b) any statement or information from which there is a material omission.
(2) For the purposes of this Division, a statement shall be deemed to be in a prospectus if it is—
(a) contained in a report or memorandum that appears on the face of the prospectus; or
(b) contained in a report or memorandum that is issued with the prospectus with the consent or knowledge of a person who authorized or caused the issue of the prospectus.
(3) A person who contravenes subsection (1) commits an offence and shall, on conviction, be liable to a fine not exceeding three million ringgit or to imprisonment for a term not exceeding ten years or to both.

Tanggungan jenayah bagi pernyataan palsu, dsb., dalam prospektus
(1) Tiada seorang pun boleh membenarkan atau menyebabkan penerbitan prospektus yang mengandungi—
(a) apa-apa pernyataan atau maklumat yang palsu atau mengelirukan; atau
(b) apa-apa pernyataan atau maklumat yang dalamnya terdapat suatu peninggalan yang material.
(2) Bagi maksud Penggal ini, suatu pernyataan hendaklah disifatkan sebagai terdapat dalam sesuatu prospektus jika pernyataan itu—
(a) terkandung dalam suatu laporan atau memorandum yang terdapat pada muka depan prospektus itu; atau
(b) terkandung dalam suatu laporan atau memorandum yang diterbitkan bersama dengan prospektus itu dengan persetujuan atau pengetahuan seseorang yang membenarkan atau menyebabkan penerbitan prospektus itu.
(3) Seseorang yang melanggar subseksyen (1) melakukan suatu kesalahan dan boleh, apabila disabitkan, didenda tidak melebihi tiga juta ringgit atau dipenjarakan selama tempoh tidak melebihi sepuluh tahun atau kedua-duanya.
