s 260 Persons who can be trustees

(1) A trustee shall be— (a) a company registered as a trust company under the Trust Companies Act 1949 [Act 100]; or (b) a corporation that is a public company under the Companies Act 1965 or under the laws of any other country, which has been approved by the Commission to act as trustee for the purposes of this Act. (2) A person shall not be eligible to be appointed or to act as trustee for debenture holders without the approval of the Commission if the person— (a) is a shareholder who beneficially holds shares in the borrower; (b) is beneficially entitled to monies owed by the borrower to it; (c) has entered into a guarantee in respect of the amount secured or payable under the debenture; or (d) is a related corporation of— (i) the persons referred to in paragraphs (a) to (c); or (ii) the borrower. (3) An application for approval made under subsection (1) or (2) shall be made to the Commission in accordance with such procedure or other requirement as may be specified by the Commission. (4) Notwithstanding the provisions of subsection (2), a person is not prevented from being appointed or from acting as trustee by reason only that— (a) the borrower owes to the trustee or any related corporation of the trustee any monies, so long as such monies are— (i) monies that do not, at the time of the appointment or at any time within a period of three months after the debentures are first offered for subscription or purchase or in respect of which an invitation to subscribe for or purchase is made, exceed one-tenth of the amount of the debentures proposed to be issued within that period and do not, at any time after the expiration of that period, exceed onetenth of the amount the borrower owes to the holders of the debentures; or (ii) monies to which the trustee or any related corporation of the trustee is entitled to as trustee for holders of any debenture of the borrower, in accordance with the terms, provisions or covenants of the debenture or the trust deed; or (b) the trustee or a related corporation of the trustee, despite being beneficial owners in the shares of the borrower, do not have the right to exercise more than one-twentieth of the voting power at any general meeting of the borrower. (5) Where an application has been made to the Commission under subsection (3), the Commission may approve such application subject to such terms and conditions as it thinks fit. (6) In exercising its discretion under subsection (5), the Commission shall have regard to— (a) the interests of holders of any debenture; and (b) the ability of the trustee to safeguard the interests of such debenture holders as required by the provisions and covenants of the trust deed and the provisions of this Act. (7) The Commission may revoke its approval under subsection (5) where the trustee has failed to comply with any term or condition imposed under subsection (5) or has contravened any provision of this Act. (8) A trustee who— (a) contravenes subsection (1) or (2); or (b) contravenes a term or condition imposed by the Commission under subsection (5), commits an offence and shall, on conviction, be liable to a fine not exceeding five hundred thousand ringgit or to imprisonment for a term not exceeding three years or to both.

Orang yang boleh menjadi pemegang amanah

(1) Seseorang pemegang amanah hendaklah merupakan— (a) suatu syarikat yang didaftarkan sebagai suatu syarikat amanah di bawah Akta Syarikat Amanah 1949 [Akta 100]; atau (b) suatu perbadanan yang merupakan suatu syarikat awam di bawah Akta Syarikat 1965 atau di bawah undang-undang mana-mana negara lain, yang dibenarkan oleh Suruhanjaya untuk menjadi pemegang amanah bagi maksud Akta ini. (2) Seseorang tidak layak dilantik atau bertindak sebagai pemegang amanah bagi pemegang debentur tanpa kelulusan Suruhanjaya jika orang itu— (a) seorang pemegang syer yang memegang syer peminjam secara benefisial; (b) berhak secara benefisial kepada wang yang terhutang oleh peminjam kepadanya; (c) telah membuat suatu jaminan berkenaan dengan amaun yang dijamin atau yang kena dibayar di bawah debentur itu; atau (d) suatu perbadanan yang berhubungan dengan— (i) orang yang disebut dalam perenggan (a) hingga (c); atau (ii) peminjam itu. (3) Suatu permohonan untuk kelulusan yang dibuat di bawah subseksyen (1) atau (2) hendaklah dibuat kepada Suruhanjaya mengikut apa-apa tatacara atau kehendak lain sebagaimana yang ditentukan oleh Suruhanjaya. (4) Walau apa pun peruntukan subseksyen (2), seseorang tidak terhalang daripada dilantik atau bertindak sebagai pemegang amanah hanya disebabkan oleh— (a) peminjam itu berhutang dengan pemegang amanah atau mana-mana perbadanan yang berhubungan dengan pemegang amanah itu apa-apa wang, selagi wang itu ialah— (i) wang yang tidak, pada masa pelantikan atau pada bila-bila masa dalam tempoh tiga bulan selepas debentur itu mula-mula ditawarkan bagi langganan atau pembelian atau yang mengenainya suatu pelawaan untuk melanggan atau membeli dibuat, melebihi satu per sepuluh daripada amaun debentur yang dicadangkan untuk diterbitkan dalam tempoh itu dan tidak, pada bila-bila masa selepas habis tempoh itu, melebihi satu per sepuluh daripada amaun yang terhutang oleh peminjam kepada pemegang debentur itu; atau (ii) wang yang kepadanya pemegang amanah itu atau mana-mana perbadanan yang berhubungan dengan pemegang amanah itu berhak sebagai pemegang amanah bagi pemegang mana-mana debentur peminjam itu, mengikut terma, peruntukan atau waad debentur atau surat ikatan amanah itu; atau (b) pemegang amanah atau perbadanan yang berhubungan dengan pemegang amanah itu, walaupun menjadi pemilik benefisial syer peminjam, tidak mempunyai hak untuk melaksanakan lebih daripada satu per dua puluh daripada kuasa mengundi pada mana-mana mesyuarat agung peminjam itu. (5) Jika suatu permohonan telah dibuat kepada Suruhanjaya di bawah subseksyen (3), Suruhanjaya boleh meluluskan permohonan itu tertakluk kepada apa-apa terma dan syarat yang difikirkannya patut. (6) Dalam menggunakan budi bicaranya di bawah subseksyen (5), Suruhanjaya hendaklah mengambil kira— (a) kepentingan pemegang mana-mana debentur; dan (b) keupayaan pemegang amanah untuk melindungi kepentingan pemegang debentur itu sebagaimana yang dikehendaki oleh peruntukan dan waad surat ikatan amanah itu dan peruntukan Akta ini. (7) Suruhanjaya boleh membatalkan kelulusannya di bawah subseksyen (5) jika pemegang amanah itu tidak mematuhi mana-mana terma atau syarat yang dikenakan di bawah subseksyen (5) atau melanggar mana-mana peruntukan Akta ini. (8) Seseorang pemegang amanah yang— (a) melanggar subseksyen (1) atau (2); atau (b) melanggar suatu terma atau syarat yang dikenakan oleh Suruhanjaya di bawah subseksyen (5), melakukan suatu kesalahan dan boleh, apabila disabitkan, didenda tidak melebihi lima ratus ribu ringgit atau dipenjarakan selama tempoh tidak melebihi tiga tahun atau kedua-duanya.
