s 327 Powers to issue directions to a recognized self-regulatory organization

(1) Where the Commission is satisfied that— (a) a conflict exists or may come into existence between the interest of a recognized self-regulatory organization or its members and the interest of the proper performance of the functions or duties conferred by this Act, its rules or any guidelines issued by the Commission pursuant to section 377; (b) such a conflict of interest has occurred or has existed in circumstances that make it likely that the conflict of interest will continue or be repeated; or (c) the recognized self-regulatory organization has failed to carry out its functions or discharge its duties under subsection 324(1) or its rules or any guidelines issued by the Commission pursuant to section 377, the Commission may serve a written notice on the recognized self-regulatory organization stating the reasons in support of the ground for the notice and direct the recognized self-regulatory organization to forthwith take such steps as are specified in the notice, including steps in relation to any of its affairs, business or property for the purposes of managing the conflict of interest or the matters occasioning the conflict of interest and the satisfactory carrying out of its functions and satisfactory discharge of its duties. (2) A notice served under subsection (1) shall take effect immediately. (3) A recognized self-regulatory organization that has been served with a notice under subsection (1) shall not without reasonable excuse, fail to comply with the notice. (4) A recognized self-regulatory organization that has been served with a notice under subsection (1) may appeal against the notice to the Commission not later than fourteen days after the date of service of the notice or such longer period if any, as the Commission may specify in the notice, but the notice shall take effect immediately notwithstanding that the appeal has been or may be made under this subsection. (5) Without limiting the generality of subsection (1), the Commission may issue any other direction to a recognized self-regulatory organization where the Commission thinks necessary in the public interest or for the protection of investors.

Kuasa untuk mengeluarkan arahan ke atas organisasi pengawalseliaan sendiri yang diiktiraf

(1) Jika Suruhanjaya berpuas hati bahawa— (a) percanggahan berlaku atau boleh berlaku antara kepentingan suatu organisasi pengawalseliaan sendiri yang diiktiraf atau anggotanya dengan kepentingan untuk pelaksanaan yang sepatutnya fungsi atau kewajipan yang diberikan oleh Akta ini, kaedah-kaedahnya atau apa-apa garis panduan yang dikeluarkan oleh Suruhanjaya menurut seksyen 377; (b) apa-apa percanggahan kepentingan telah berlaku atau telah wujud dalam hal keadaan yang memungkinkan percanggahan kepentingan itu akan berterusan atau berulang; atau (c) organisasi pengawalseliaan sendiri yang diiktiraf itu telah tidak menjalankan fungsinya atau menunaikan kewajipannya di bawah subseksyen 324(1) atau kaedahkaedahnya atau apa-apa garis panduan yang dikeluarkan oleh Suruhanjaya menurut seksyen 377, Suruhanjaya boleh menyampaikan suatu notis bertulis kepada organisasi pengawalseliaan sendiri yang diiktiraf itu yang menyatakan sebab bagi menyokong alasan bagi notis itu dan mengarahkan organisasi pengawalseliaan sendiri yang diiktiraf itu dengan segera mengambil apa-apa langkah yang dinyatakan dalam notis itu, termasuk langkah berhubung dengan manamana hal ehwal, urusan atau hartanya bagi maksud menguruskan percanggahan kepentingan itu atau perkara yang boleh menimbulkan percanggahan kepentingan itu dan penjalanan fungsinya dan penunaian kewajipannya dengan memuaskan. (2) Suatu notis yang disampaikan di bawah subseksyen (1) hendaklah berkuat kuasa dengan serta-merta. (3) Suatu organisasi pengawalseliaan sendiri yang diiktiraf yang telah disampaikan suatu notis di bawah subseksyen (1) tidak boleh tanpa sebab yang munasabah, tidak mematuhi notis itu. (4) Suatu organisasi pengawalseliaan sendiri yang diiktiraf yang telah disampaikan suatu notis di bawah subseksyen (1) boleh merayu terhadap notis itu kepada Suruhanjaya tidak lewat daripada empat belas hari selepas tarikh penyampaian notis itu atau mana-mana tempoh yang lebih lama, jika ada, sebagaimana yang ditentukan oleh Suruhanjaya dalam notis itu, tetapi notis itu hendaklah mula berkuat kuasa dengan serta-merta walaupun rayuan telah atau boleh dibuat di bawah subseksyen ini. (5) Tanpa mengehadkan keluasan subseksyen (1), Suruhanjaya boleh mengeluarkan apa-apa arahan lain kepada suatu organisasi pengawalseliaan sendiri yang diiktiraf jika difikirkan perlu oleh Suruhanjaya demi kepentingan awam atau bagi melindungi pelabur.
