s 367 Offences by bodies of persons and by employees and agents
(1) Where an offence against this Act or any regulations made thereunder has been committed by a body corporate, any person who at the time of the commission of the offence was a director, a chief executive, an officer or a representative of the body corporate or was purporting to act in such capacity, is deemed to have committed that offence unless he proves that the offence was committed without his consent or connivance and that
he exercised all such diligence to prevent the commission of the offence as he ought to have exercised, having regard to the nature of his functions in that capacity and to all the circumstances.
(2) Where a person who is an employee of another person contravenes any provision of this Act, the person for or on behalf of whom the employee is acting shall be deemed to have contravened such provision.
(3) Without prejudice to the generality of subsection (2), where any representative of the holder of a Capital Markets Services Licence contravenes any provision of this Act, such holder shall be deemed to have contravened such provision.
(4) For the purposes of this section, a director of a corporation includesβ
(a) a person occupying or acting in the position of director of the corporation, by whatever name called, and whether or not validly appointed to occupy or duly authorized to act in the position;
(b) a person in accordance with whose directions or instructions the directors of the corporation are accustomed to act; and
(c) if the corporation is incorporated outside Malaysiaβ
(i) a member of the corporationβs board;
(ii) a person occupying or acting in the position of director of the corporationβs board, by whatever name called, and whether or not validly appointed to occupy or duly authorized to act in the position; and
(iii) a person in accordance with whose directions or instructions the members of the corporationβs board are accustomed to act.

Kesalahan oleh kumpulan orang dan oleh pekerja dan ejen
(1) Jika suatu kesalahan terhadap Akta ini atau mana-mana peraturan-peraturan yang dibuat di bawahnya telah dilakukan oleh sesuatu pertubuhan perbadanan, mana-mana orang yang semasa berlakunya kesalahan itu ialah seorang pengarah, ketua pegawai eksekutif, pegawai atau wakil pertubuhan perbadanan itu atau yang berupa sebagai bertindak atas sifat sedemikian, adalah disifatkan yang telah melakukan kesalahan itu melainkan jika dia membuktikan bahawa kesalahan itu telah dilakukan tanpa persetujuannya atau pembiarannya dan bahawa dia telah menjalankan segala usaha wajar untuk menghalang perlakuan kesalahan itu sebagaimana yang sepatutnya dijalankan olehnya, dengan mengambil kira jenis fungsinya atas sifat itu dan segala hal keadaan.
(2) Jika seseorang yang merupakan pekerja seorang lain melanggar mana-mana peruntukan Akta ini, orang itu yang baginya atau bagi pihaknya pekerja itu bertindak hendaklah disifatkan telah melanggar peruntukan itu.
(3) Tanpa menjejaskan keluasan subseksyen (2), jika mana-mana wakil pemegang Lesen Perkhidmatan Pasaran Modal melanggar mana-mana peruntukan Akta ini, pemegang itu hendaklah disifatkan telah melanggar peruntukan itu.
(4) Bagi maksud seksyen ini, seseorang pengarah sesuatu perbadanan termasuklahβ
(a) seseorang yang menjawat atau memangku jawatan pengarah perbadanan itu, dengan apa jua nama disebut, dan sama ada atau tidak dilantik secara sah untuk menjawat atau diberi kuasa sewajarnya untuk memangku jawatan itu;
(b) seseorang yang mengikut arahan atau petunjuknya pengarah perbadanan itu lazimnya bertindak; dan
(c) jika perbadanan itu diperbadankan di luar Malaysiaβ
(i) anggota lembaga perbadanan itu;
(ii) seseorang yang menjawat atau memangku jawatan pengarah lembaga perbadanan itu, dengan apa jua nama disebut, dan sama ada atau tidak dilantik secara sah untuk menjawat atau diberi kuasa sewajarnya untuk memangku jawatan itu; dan
(iii) seseorang yang mengikut arahan atau petunjuknya anggota lembaga perbadanan itu lazimnya bertindak.
