s 177 Additional provisions relating to compulsory transfer

(1) The Third Schedule of the Central Bank of Malaysia Act 2009 shall apply in relation to an order of the Bank under this Subdivision, with modifications, as provided in Schedule 13 and the Minister may prescribe any other modification as may be necessary to give effect to such order. (2) Where the Bank makes an order under this Subdivision to a licensed person, the Bank shall— (a) notify that fact in the Gazette; and (b) give notice of such order as soon as is practicable by publication in at least two daily newspapers published in Malaysia, one of which shall be in the national language. (3) The notice under paragraph (2)(b) shall include the transacted price of the transfer and the right of any aggrieved person to appeal on the transacted price to the Assessor Committee. (4) The transacted price referred to in subsection (3) shall be determined by an independent valuer. (5) Subject to subsection (9), the transferee and the transferor shall mutually agree on the person to be appointed by the Bank as the independent valuer referred to in subsection (4). (6) Where an agreement under subsection (5) cannot be reached between the transferee and the transferor within a period the Bank determines to be reasonable, the Bank shall refer the matter to the Minister and the appointment of an independent valuer shall be made by the Minister. (7) The remuneration of the independent valuer appointed under subsection (5) or (6) shall be payable out of the transacted price unless otherwise determined by the Bank. (8) In determining the transacted price under subsection (4) for the business, assets or liabilities of the transferor, the independent valuer shall— (a) have regard to matters which the independent valuer considers relevant including the prevailing market conditions for sale or disposal of similar business, assets or liabilities of the transferor; and (b) disregard any benefit derived from any special financial assistance provided directly or indirectly by the Bank or the Government to the transferor. (9) Where the vesting under this Subdivision is to be in a bridge institution, the independent valuer referred to in subsection (4) shall be appointed by the Minister. (10) Where any person aggrieved by the transacted price appeals on the transacted price to the Assessor Committee, section 210 shall apply.

Peruntukan tambahan yang berhubungan dengan pemindahan wajib

(1) Jadual Ketiga Akta Bank Negara Malaysia 2009 hendaklah terpakai berhubungan dengan suatu perintah oleh Bank di bawah Subpenggal ini, dengan ubah suaian, seperti yang diperuntukkan dalam Jadual 13 dan Menteri boleh menetapkan apa-apa ubah suaian lain sebagaimana perlu bagi memberi kesan kepada perintah itu. (2) Jika Bank membuat suatu perintah di bawah Subpenggal ini atas orang berlesen, Bank hendaklah— (a) memberitahu hakikat itu dalam Warta; dan (b) memberi notis tentang perintah itu seberapa yang praktik melalui penyiaran dalam sekurang-kurangnya dua surat khabar harian yang disiarkan di Malaysia, salah satu daripada surat khabar itu hendaklah dalam bahasa kebangsaan. (3) Notis di bawah perenggan (2)(b) hendaklah termasuklah harga urus niaga bagi pemindahan dan hak mana-mana orang yang terkilan untuk merayu atas harga urus niaga kepada Jawatankuasa Pentaksir. (4) Harga urus niaga yang disebut dalam subseksyen (3) hendaklah diputuskan oleh penilai bebas. (5) Tertakluk kepada subseksyen (9), penerima pindahan dan pemindah hendaklah bersetuju secara bersama akan orang yang dilantik oleh Bank sebagai penilai bebas yang disebut dalam subseksyen (4). (6) Jika suatu persetujuan di bawah subseksyen (5) tidak dapat dipersetujui antara penerima pindahan dan pemindah itu dalam suatu tempoh yang Bank putuskan sebagai munasabah, Bank hendaklah merujuk perkara ini kepada Menteri dan pelantikan penilai bebas hendaklah dibuat oleh Menteri. (7) Saraan bagi penilai bebas yang dilantik di bawah subseksyen (5) atau (6) hendaklah dibayar daripada harga urus niaga melainkan jika diputuskan selainnya oleh Bank. (8) Dalam menentukan harga urus niaga di bawah subseksyen (4) bagi perniagaan, aset atau liabiliti pemindah itu, penilai bebas hendaklah— (a) mengambil kira perkara yang penilai bebas itu berpendapat berkaitan termasuk keadaan pasaran semasa bagi jualan atau pelupusan perniagaan, aset atau liabiliti serupa bagi pemindah itu; dan (b) tidak mengambil kira apa-apa manfaat yang diperoleh daripada bantuan kewangan khas yang diperuntukkan secara langsung atau tidak langsung oleh Bank atau Kerajaan kepada pemindah itu. (9) Jika peletakhakan di bawah Subpenggal ini bagi institusi perantaraan, penilai bebas yang disebut dalam subseksyen (4) hendaklah dilantik oleh Menteri. (10) Jika mana-mana orang yang terkilan dengan harga urus niaga merayu atas harga urus niaga kepada Jawatankuasa Pentaksir, seksyen 210 hendaklah terpakai.
