s 18 Chief Executive Officer
(1) The Board shall, with the approval of the Minister, appoint a Chief Executive Officer on such conditions as the Board deems desirable.
(2) The Chief Executive Officer shall be a person who—
(a) has the academic qualification and experience which will enable him to satisfactorily discharge his responsibilities;
(b) has not held a position of responsibility in the management of a company which has been convicted of an offence under any written law during his tenure of office unless he proves that such offence was committed without his knowledge or consent and he was not in a position to prevent the offence;
(c) has not held a position of responsibility in the management of any company which during his tenure of office—
(i) has defaulted in the payment of any judgment sum against the company;
(ii) has suspended payment to or has compounded with, the creditors of the company; or
(iii) has had a receiver or manager appointed in respect of the property of the company;
(d) is available for full time employment, and shall not carry on any other business or vocation, except as a nonexecutive director or shareholder of another company;
(e) has not caused a conflict of interest situation with that of the Board, either by himself or through his relative; and
(f) has not acted in a manner which may cast doubt on his fitness to hold the position of Chief Executive Officer, or acted in blatant disregard for proper professional conduct.
(3) The Chief Executive Officer shall have such powers and duties as may be conferred or imposed upon him by the Board.
(4) The Chief Executive Officer shall be responsible for the overall administration and management of the functions and the day-to-day affairs of the Board.
(5) The Chief Executive Officer shall have general control of the employees of the Board.
(6) In discharging his duties, the Chief Executive Officer shall act under the general authority and direction of the Board.
(7) Subject to subsection (8), the Board may appoint temporarily any employee of the Board to act as the Chief Executive Officer for a period when—
(a) the office of the Chief Executive Officer is vacant;
(b) the Chief Executive Officer is absent from duty or from Malaysia; or
(c) the Chief Executive Officer is, for any other reason, unable to perform the duties of his office.
(8) The Board shall obtain the approval of the Minister if the appointment under subsection (7) is for more than six months.
(9) The Chief Executive Officer shall be an employee of the Board.
(10) The Chief Executive Officer shall be paid such remuneration as the Board may determine with the approval of the Minister.
(11) Paragraphs 14(a), (b), (c), (d), (e), (f), (g) and (i) shall apply to the Chief Executive Officer.

Ketua Pegawai Eksekutif
(1) Lembaga hendaklah, dengan kelulusan Menteri, melantik Ketua Pegawai Eksekutif atas apa-apa syarat sebagaimana yang difikirkan wajar oleh Lembaga.
(2) Ketua Pegawai Eksekutif hendaklah seorang yang—
(a) mempunyai kelayakan akademik dan pengalaman yang membolehkannya menunaikan tanggungjawabnya dengan memuaskan;
(b) tidak pernah memegang sesuatu jawatan yang dipertanggungjawabkan dengan pengurusan sesuatu syarikat yang telah disabitkan atas kesalahan di bawah mana-mana undang-undang bertulis semasa tempoh jawatannya melainkan jika dia membuktikan bahawa kesalahan itu telah dilakukan tanpa pengetahuan atau keizinannya dan dia tidak dapat menghalang kesalahan itu;
(c) tidak pernah memegang sesuatu jawatan yang dipertanggungjawabkan dengan pengurusan mana-mana syarikat yang semasa tempoh jawatannya—
(i) telah ingkar membayar apa-apa jumlah wang penghakiman terhadap syarikat itu;
(ii) telah menggantung pembayaran kepada atau telah membuat penyelesaian dengan, pemiutang-pemiutang syarikat itu; atau
(iii) telah dilantik berkenaan dengan harta syarikat itu seorang penerima atau pengurus;
(d) bersedia bagi pekerjaan sepenuh masa, dan tidak boleh menjalankan apa-apa perniagaan atau pekerjaan lain, kecuali sebagai pengarah bukan eksekutif atau pemegang saham syarikat lain;
(e) tidak pernah menimbulkan situasi percanggahan kepentingan dengan Lembaga, yang disebabkan oleh dirinya sendiri atau melalui saudaranya; dan
(f) tidak pernah bertindak mengikut cara yang boleh menimbulkan keraguan terhadap kelayakannya untuk memegang jawatan sebagai Ketua Pegawai Eksekutif, atau bertindak dengan tidak mengambil kira secara terang-terangan kelakuan profesional yang sepatutnya.
(3) Ketua Pegawai Eksekutif hendaklah mempunyai apa-apa kuasa dan kewajipan sebagaimana yang diberikan atau dipertanggungkan atasnya oleh Lembaga.
(4) Ketua Pegawai Eksekutif hendaklah bertanggungjawab bagi keseluruhan pentadbiran dan pengurusan fungsi dan hal ehwal hari ke hari Lembaga.
(5) Ketua Pegawai Eksekutif hendaklah mempunyai kawalan am ke atas pekerja Lembaga.
(6) Dalam menunaikan kewajipannya, Ketua Pegawai Eksekutif hendaklah bertindak di bawah kuasa dan arahan am Lembaga.
(7) Tertakluk kepada subseksyen (8), Menteri boleh melantik secara sementara mana-mana pekerja Lembaga untuk bertindak sebagai Ketua Pegawai Eksekutif bagi tempoh semasa—
(a) jawatan Ketua Pegawai Eksekutif kosong;
(b) Ketua Pegawai Eksekutif tidak hadir bertugas atau tidak ada di Malaysia; atau
(c) Ketua Pegawai Eksekutif, atas apa-apa sebab lain, tidak dapat melaksanakan kewajipan jawatannya.
(8) Lembaga hendaklah mendapatkan kelulusan Menteri sekiranya pelantikan di bawah subseksyen (7) adalah untuk tempoh lebih daripada enam bulan.
(9) Ketua Pegawai Eksekutif hendaklah merupakan seorang pekerja Lembaga.
(10) Ketua Pegawai Eksekutif hendaklah dibayar apa-apa saraan sebagaimana yang ditentukan oleh Lembaga dengan kelulusan Menteri.
(11) Perenggan 14(a), (b), (c), (d), (e), (f), (g) dan (i) hendaklah terpakai bagi Ketua Pegawai Eksekutif.
