s 28 Requirement to register and lodge prospectus or product disclosure statement
(1) A prospectus or product disclosure statement shall not be issued, circulated or distributed by any person unless—
(a) the prospectus or product disclosure statement has first been registered by the Registrar; and
(b) the prospectus or product disclosure statement has complied with the provisions of this Act.
(2) A prospectus or product disclosure statement registered with the Registrar under this Act shall be lodged with the Registrar before the date of issue.
(3) A person shall not issue, circulate or distribute any form of application for subscription of interest of a scheme unless—
(a) he is authorized in writing by the Registrar; and
(b) the form is accompanied with a copy of a prospectus or product disclosure statement which has been registered by the Registrar.
(4) A person who contravenes this section commits an offence and shall, on conviction, be liable to imprisonment for a term not exceeding five years or to a fine not exceeding one million ringgit or to both.

Kehendak untuk mendaftarkan dan menyerah simpan prospektus atau pernyataan penzahiran produk
(1) Suatu prospektus atau pernyataan penzahiran produk tidak boleh dikeluarkan, diedarkan atau disebarkan kepada mana-mana orang melainkan jika—
(a) prospektus atau pernyataan penzahiran produk itu telah terlebih dahulu didaftarkan oleh Pendaftar; dan
(b) prospektus atau pernyataan penzahiran produk itu telah mematuhi peruntukan Akta ini.
(2) Suatu prospektus atau pernyataan penzahiran produk yang telah didaftarkan oleh Pendaftar di bawah Akta ini hendaklah diserah simpan dengan Pendaftar sebelum tarikh pengeluaran.
(3) Seseorang tidak boleh mengeluarkan, mengedarkan atau menyebarkan apa-apa borang permohonan bagi langganan kepentingan suatu skim melainkan jika—
(a) dia diberi kuasa secara bertulis oleh Pendaftar; dan
(b) borang itu disertakan dengan suatu salinan prospektus atau pernyataan penzahiran produk yang telah didaftarkan oleh Pendaftar.
(4) Seseorang yang melanggar seksyen ini melakukan suatu kesalahan dan boleh, apabila disabitkan, dipenjarakan selama tempoh tidak melebihi lima tahun atau didenda tidak melebihi satu juta ringgit atau kedua-duanya.
