Sch 8 para 23 Statement of voting at general meeting
The directors’ remuneration report must contain a statement setting out in respect of the last general meeting at which a resolution of the following kind was moved by the company— (a) in respect of a resolution to approve the directors’ remuneration report, the percentage of votes cast for and against and the number of votes withheld; (b) in respect of a resolution to approve the directors’ remuneration policy, the percentage of votes cast for and against and the number of votes withheld; and, (c) where there was a significant percentage of votes against either such resolution, a summary of the reasons for those votes, as far as known to the directors, and any actions taken by the directors in response to those concerns.
