s 14 Prohibition on exploration or exploitation of natural resources without contract
(1) Notwithstanding the provisions of any other written law, no business of exploration and exploitation of any natural resources, including petroleum, may be carried out in the Joint Development Area by any person other than the Joint Authority unless there is in respect of any such business a contract entered into between the Joint Authority and such person to explore and exploit such natural resources.
(2) A contract referred to under subsection (1) shall require the prior approval of the Governments.
(3) Subject to subsection (4), a contract referred to under subsection
(1) for the purpose of the exploration and exploitation of petroleum shall be a production sharing contract and shall include, amongst others, the following terms and conditions:
(a) for the purpose of section 7, payment in the amount of ten per centum of gross production of petroleum by the contractor to the Joint Authority as royalty in the manner and at such times as may be specified in the contract;
(b) fifty per centum of gross production of petroleum shall be applied by the contractor for the purpose of recovery of costs for petroleum operations;
(c) the remaining portion of gross production of petroleum, after deductions for the purposes of paragraphs (a) and
(b), shall be deemed to be profit petroleum and be divided equally between the Joint Authority and the contractor;
(d) the contract shall be valid for a period not exceeding thirty-five years but shall not exceed the period of validity of the Agreement;
(e) all costs of petroleum operations shall be borne by the contractor and shall, subject to paragraph (b), be recoverable from production;
(f) a minimum amount that the contractor shall expend on petroleum operations under the contract as a minimum commitment as may be agreed to by the Joint Authority and the contractor;
(g) payment of a research cess by the contractor to the Joint Authority in the amount of one half of one per centum of the aggregate of that portion of gross production which is applied for the purpose of recovery of costs under paragraph (b) and the contractor’s share of profit petroleum under paragraph (c) in the manner and at such times as may be determined by the Joint Authority, provided that such payment shall not be recoverable from production; and
(h) any disputes or differences arising out of or in connection with the contract which cannot be amicably settled shall be referred to arbitration before a panel consisting of three arbitrators, one arbitrator to be appointed by each party, and a third to be jointly appointed by both parties. If the parties are unable to concur on the choice of a third arbitrator within a specified period, the third arbitrator shall be appointed upon application to the United Nations Commission of International Trade Law (UNCITRAL). The arbitration proceedings shall be conducted in accordance with the rules of UNCITRAL. The venue of arbitration shall be either Bangkok or Kuala Lumpur, or any other place as may be agreed to by the parties.
(4) The Joint Authority may vary any of the amounts referred to in paragraphs (3)(b), (c) and (g) in respect of any contract with the approval of the Governments:
Provided that there shall be no variation of any of these amounts in respect of a subsisting contract without the agreement of the contractor.
(5) For the purposes of this section, “gross production” with reference to gas means gross proceeds of sale of gas.

Larangan mencari gali atau mengeksploitasi sumber alam tanpa kontrak
(1) Walau apa pun peruntukan mana-mana undang-undang bertulis lain, tiada urusan mencari gali dan mengeksploitasi apa-apa sumber alam, termasuk petroleum, boleh dijalankan di dalam Kawasan Pembangunan Bersama oleh mana-mana orang selain Pihak Berkuasa Bersama melainkan jika ada berkenaan dengan mana-mana urusan itu suatu kontrak yang dibuat di antara Pihak Berkuasa Bersama dengan orang itu untuk mencari gali dan mengeksploitasi sumber alam itu.
(2) Sesuatu kontrak yang disebut di bawah subseksyen (1) hendaklah terlebih dahulu mendapat kelulusan Kerajaan-Kerajaan.
(3) Tertakluk kepada peruntukan subseksyen (4), sesuatu kontrak yang disebut di bawah subseksyen (1) bagi maksud mencari gali dan mengeksploitasi petroleum hendaklah suatu kontrak kongsi pengeluaran dan hendaklah mengandungi, antara lain, terma dan syarat yang berikut:
(a) bagi maksud seksyen 7, amaun sebanyak sepuluh peratus daripada pengeluaran kasar petroleum hendaklah dibayar oleh kontraktor kepada Pihak Berkuasa Bersama sebagai royalti mengikut cara dan pada masa yang dinyatakan dalam kontrak itu;
(b) lima puluh peratus daripada pengeluaran kasar petroleum hendaklah digunakan oleh kontraktor bagi maksud mendapatkan kembali kos bagi pengendalian petroleum;
(c) bahagian yang selebihnya daripada pengeluaran kasar petroleum itu, selepas dibuat potongan bagi maksud perenggan (a) dan (b), hendaklah disifatkan sebagai petroleum untung dan hendaklah dibahagikan sama banyak di antara Pihak Berkuasa Bersama dengan kontraktor;

(d) kontrak itu hendaklah sah selama tempoh tidak melebihi tiga puluh lima tahun tetapi tidak boleh melebihi tempoh kesahan Perjanjian;
(e) segala kos pengendalian petroleum hendaklah ditanggung oleh kontraktor dan boleh, tertakluk kepada perenggan (b), didapatkan kembali daripada pengeluaran;
(f) amaun minimum yang hendaklah dibelanjakan oleh kontraktor bagi pengendalian petroleum di bawah kontrak sebagai komitmen minimum sebagaimana yang dipersetujui oleh Pihak Berkuasa Bersama dan kontraktor;
(g) pembayaran ses penyelidikan oleh kontraktor kepada Pihak Berkuasa Bersama sebanyak satu perdua daripada satu peratus agregat bagi bahagian pengeluaran kasar yang digunakan bagi maksud mendapatkan kembali kos di bawah perenggan (b) dan bahagian petroleum untung untuk kontraktor di bawah perenggan(c) mengikut cara dan pada masa yang ditentukan oleh Pihak Berkuasa Bersama, dengan syarat bahawa pembayaran itu tidak boleh didapatkan kembali daripada pengeluaran; dan
(h) apa-apa pertikaian atau perselisihan yang berbangkit daripada atau berkaitan dengan kontrak yang tidak dapat diselesaikan secara berbaik-baik hendaklah dirujuk kepada timbang tara di hadapan suatu panel yang terdiri daripada tiga orang penimbang tara, seorang penimbang tara hendaklah dilantik oleh setiap pihak, dan penimbang tara yang ketiga hendaklah dilantik bersesama oleh kedua-dua pihak itu. Jika pihak-pihak itu tidak dapat bersetuju dengan pemilihan penimbang tara yang ketiga itu dalam suatu tempoh yang ditentukan, maka penimbang tara yang ketiga itu hendaklah dilantik dengan membuat permohonan kepada Suruhanjaya Bangsa-Bangsa Bersatu mengenai Undang-Undang Perdagangan Antarabangsa (UNCITRAL). Prosiding timbang tara hendaklah dijalankan mengikut kaedah-kaedah UNCITRAL. Tempat timbang tara itu hendaklah sama ada Bangkok atau Kuala Lumpur, atau mana-mana tempat lain sebagaimana yang dipersetujui oleh pihak-pihak itu.

(4) Pihak Berkuasa Bersama boleh mengubah mana-mana amaun yang disebut dalam perenggan (3)(b), (c) dan (g) berkenaan dengan apa-apa kontrak dengan kelulusan Kerajaan-Kerajaan:
Dengan syarat bahawa tidak boleh ada apa-apa perubahan manamana amaun ini berkenaan dengan kontrak yang ada tanpa persetujuan kontraktor.
(5) Bagi maksud seksyen ini, “pengeluaran kasar” berhubungan dengan gas ertinya hasil kasar daripada penjualan gas.
