s 100

(1) If for any reason it is impracticable to call a meeting in any manner in which meetings may be called or to conduct the meeting in the manner prescribed by the articles or this Aci, the Court may, either of its own motion or on the application of any director or of any member who would be entitled to vote at the meeting or of the personal representative of any such member, order a meeting to be called, held and conducted in such manner as the Court thinks fit, and the Court may give such ancillary or consequential directions as it thinks expedient. (2) Any meeting called, held and conducted in accordance with any direction made pursuant to this section shall, for all purposes, be deemed to be a meeting duly called, held and conducted. [Pt. (1) Jika kerana apa-apa sebab, adalah tidak praktik untuk memanggil suatu mesyuarat mengikut apa-apa cara yang mesyuarat-mesyuarat boleh dipanggil atau untuk menjalankan mesyuarat itu mengikut cara yang ditetapkan oleh perkara-perkara atau Akta ini, Mahkamah boleh, sama ada atas usulnya sendiri atau atas permohonan mana-mana pengarah atau mana-mana anggota yang berhak mengundi di mesyuarat itu atau atas permohonan wakil diri mana-mana anggota itu, memerintahkan supaya suatu mesyuarat dipanggil, diadakan dan dijalankan mengikut cara yang difikirkannya patut, dan Mahkamah boleh memberi apa-apa arahan sampingan atau berbangkit yang difikirkannya suaimanfaat. (2) Suatu mesyuarat yang dipanggil, diadakan dan dijalankan menurut apa-apa arahan yang dibuat menurut seksyen ini hendaklah, bagi semua maksud, disifatkan sebagai suatu mesyuarat yang telah dipanggil, diadakan dan dijalankan sewajarnya.
