s 108

(1) If, in relation to an offshore company— (a) the name of any person is, without sufficient cause, entered in or omitted from the register; or (b) default is made or unnecessary delay takes place in entering in the register the fact of any person having ceased to be a member, . the person aggrieved or any member of the company may apply to the Court for rectification of the register, and the Court may refuse the application or may direct rectification of sis tainester any paynent by aeicortpany of any damages (2) On any application under subsection (1), the Court may decide- (a) any question relating to the right or title of any person who is a party to the application to have his name entered in or omitted from the register, whether the question arises between members or alleged members on the one hand and the offshore company on the other hand; and [Pt. V, S. 108-109] (b) generally, any question necessary or expedient to be decided for the rectification of the register. (3) The Court when making an order forrectification of the register shall, by its order, direct a notice of the rectification to be lodged with the Registrar. (4) No application for the rectification of a register in respect of an entry which was made in the register more than thirty years before the date of the application shall be entertained by the Court.

(1) Jika, berhubungan dengan suatu syarikat luar pesisir— (a) nama mana-mana orang adalah, tanpa sebab yang mencukupi, dicatatkan di dalam atau ditinggalkan daripada daftar; atau (b) berlaku keingkaran atau terjadi kelengahan yang tak berpatutan dalam mencatatkan ke dalam daftar itu, fakta mengenai mana-mana orang yang telah terhenti menjadi seorang anggota, : : 7, : : [Bah. V, s. 108-109] 12,1 orang yang terkilan atau mana-mana anggota syarikat itu boleh memohon kepada Mahkamah untuk membetulkan daftar itu, dan Mahkamah boleh menolak permohonan itu atau boleh memerintahkan pembetulan daftar itu dan memerintahkan syarikat itu membayar apa-apa ganti rugi yang dialami oleh mana-mana pihak kepada permohonan itu. (2) Mahkamah boleh, atas apa-apa permohonan di bawah subseksyen (1), memutuskan— (a) apa-apa persoalan berhubungan dengan hak atau hakmilik mana-mana orang yang adalah suatu pihak kepada permohonan supaya namanya dicatatkan di dalam atau ditinggalkan daripada daftar itu, sama ada persoalan itu timbul di antara anggota-anggota atau anggotaanggota yang dikatakan di suatu pihak dan syarikat luar pesisir itu di suatu pihak yang lain; (b) secara amnya, apa-apa persoalan yang perlu atau suaimanfaat untuk diputuskan bagi pembetulan daftar itu. (3) Mahkamah, apabila membuat suatu perintah bagi pembetulan daftar itu, hendaklah melalui perintahnya, mengarahkan suatu notis mengenai pembetulan itu diserahkan kepada Pendaftar. (4) Tiada permohonan bagi pembetulan sesuatu daftar berkenaan dengan suatu catatan yang telah dibuat di dalam daftar lebih daripada tiga puluh tahun sebelum tarikh permohonan itu boleh dilayan oleh Mahkamah.
