s 48

(1) An offshore company may provide financial Dealing by assistance, whether directly or indirectly, for the purpose of or company in in connection with the purchase of its own shares or the shares its own of any of its subsidiaries or of its holding company— shares, etc. (a) in the ordinary course of its business, if the lending of money is part of the ordinary business of the offshore company; [Pt. IV, S. 48] (b) where the transaction has been approved by a special resolution of the company, and the directors have certified to the meeting, in writing, to the effect that there are no reasonable grounds for believing that- (i) the company is, or would after giving the financial assistance be, insolvent; or (ii) the realisable value of the company's assets, excluding the amount of any financial assistance in the form of a loan and in the form of assets pledged or encumbered to secure a guarantee, would, after giving the financial assistance or loan, be less than the aggregate of the company's liabilities and stated capital; OI (c) to employees (other than an employee who is also a director) of the company or of any of its subsidiaries or of its holding company. (2) An offshore company may purchase, take, receive or otherwise acquire, hold, own, pledge, transfer or otherwise dispose of its own shares, or the shares of any of its subsidiaries or of its holding company, but the purchases thereof, whether direct or indirect, shall be made only to the extent of unreserved and unrestricted earned surplus available therefor; and if the articles so provide, or with the affirmative votes of the holders of at least three-fourths of all shares entitled to vote thereon, to the extent of unreserved and unrestricted capital surplus available therefor. (3) Notwithstanding subsection (2), provided that there are no reasonable grounds for believing that the company is, ot would after the payment be, insolvent or that the realisable value of the company's assets would, after the payment, be less than the aggregate of its liabilities and stated capital, an offshore company may purchase or otherwise acquire its own shares for the purposes of— (a) eliminating fractional shares; (b) paying dissenting shareholders entitled to payment for their shares under the provisions of this Act or the regulations; or : *7. IV, S. 48-50] (c) effecting, subject to this Act, the retirement of its redeemable shares by redemption or by purchase at a price not exceeding the redemption price. of cancellation shall be lodged with the Registrar within thirty days from the date of cancellation.

(1) Sesuatu syarikat luar pesisir boleh memberi bantuan kewangan, sama ada secara langsung atau tak langsung, bagi maksud atau berkaitan dengan pembelian syer-syernya sendiri atau syer mana-mana subsidiarinya atau syarikat pemegangnya— (a) dalam penjalanan biasa perniagaannya, jika pemberian pinjaman wang adalah sebahagian daripada perniagaan biasa syarikat luar pesisir itu; (b) jika transaksi itu telah diluluskan melalui suatu ketetapan khas syarikat itu, dan pengarahpengarah telah memperakukan kepada mesyuarat itu, secara bertulis, yang bermaksud bahawa tiada alasan yang munasabah bagi mempercayai bahawa— (i) syarikat itu adalah, atau selepas memberi bantuan kewangan itu akan menjadi, tak solven; atau (ii) nilai boleh hasil aset syarikat itu, tidak termasuk amaun apa-apa bantuan kewangan dalam bentuk pinjaman dan dalam bentuk aset yang disandarkan atau dibebankan bagi menjamin sesuatu gerenti, akan, selepas memberi bantuan kewangan atau pinjaman itu, menjadi kurang daripada agregat liabiliti dan modal dinyatakan bagi syarikat itu; atau (c) kepada pekerja-pekerja (selain daripada pekerja yang juga menjadi pengarah) syarikat itu atau mana-mana subsidiarinya atau syarikat pemegangnya. : [Bah. IV, S. 48-49] (2) Sesuatu syarikat luar pesisir boleh membeli, mengambil, menerima atau selainnya memperolehi, memegang, memiliki, menyandarkan, memindahkan atau selainnya melupuskan syer-syernya sendiri, atau syer mana-mana subsidiarinya atau syarikat pemegangnya, tetapi pembelian syer-syer itu, sama ada secara langsung atau tak langsung, boleh dibuat hanya setakat lebihan perolehan yang tak dirizabkan dan tak terbatas yang ada bagi pembelian itu; dan jika perkara-perkara memperuntukkan demikian, atau dengan undi pengesahan pemegang sekurang-kurangnya tiga perempat daripada kesemua syer yang berhak mengundi mengenainya, setakat lebihan modal yang tak dirizabkan dan tak terbatas yang ada bagi pembelian itu. (3) Walau apa pun subseksyen (2), dengan syarat bahawa tiada alasan yang munasabah bagi mempercayai bahawa syarikat itu adalah, atau selepas pembayaran itu akan menjadi, tak solven atau bahawa nilai boleh hasil aset syarikat itu akan, selepas pembayaran itu, menjadi kurang daripada agregat liabiliti dan modal dinyatakan bagi syarikat itu, sesuatu syarikat luar pesisir boleh membeli atau selainnya memperolehi syer-syernya sendiri bagi maksud— (a) menghapuskan syer-syer pecahan; (b) membayar pemegang-pemegang syer yang menentang yang berhak mendapat bayaran bagi syer-syer mereka di bawah peruntukanperuntukan Akta ini atau peraturan-peraturan; (c) melaksanakan, tertakluk kepada Akta ini, penarikan balik syer-syer boleh tebus syarikat itu melalui penebusan atau pembelian dengan harga yang tidak melebihi harga penebusan.
