s 93
(1) Every offshore company shall appoint one or more Secretary. secretaries at least one of whom shall be a resident secretary.
(2) No person, other than an officer of a trust company/ - AA988 made available for the appointment by the trust company, shall act or be appointed as a resident secretary.
(3) Subject to subsection (4), the resident secretary of an offshore company shall be responsible for the compliance by the company with the requirements of this Act in relation to the lodging of all documents with the Registrar and the maintenance of the company' s records at the registered office of the company and dealing with communications served to the company at its registered office:
(4) Notwithstanding any other provision in this Act to the contrary, the resident secretary shall not be liable as an officer of the company to any penalty provided for in this Act save for anything done or omitted to be done by him in carrying out the duties of his office, nor shall he be liable for any damage caused to or suffered by any person howsoever arising otherwise than by reason of his wilful misconduct, wilful default or wilful neglect.
(5) An offshore company shall forthwith pay any costs, charges and expenses incurred by the resident secretary in respect of anything done under this Act on behalf of the company.
(6) The salary of the resident secretary of an offshore company shall be fixed by agreement between the company and the trust company which made him available for the appointment and shall be paid in such manner and at such times as shall be agreed between the trust company and the offshore company.
(7) Every secretary of an offshore company shall be appointed by the directors of the company.

(1) Tiap-tiap syarikat luar pesisir hendaklah melantik seorang setiausaha atau lebih yang sekurangkurangnya seorang hendaklah menjadi setiausaha pemastautin.

(2) Tiada seorang pun, melainkan seorang pegawai syarikat amanah/yang disediakan bagi perlantikan itu oleh syarikat amanah itu, boleh bertindak atau dilantik sebagai setiausaha pemastautin. Ci

(3) Tertakluk kepada subseksyen (4), setiausaha pemastautin suatu syarikat luar pesisir hendaklah bertanggungjawab bagi pematuhan kehendak-kehendak . Akta ini oleh syarikat itu berhubungan dengan penyerahan semua dokumen kepada Pendaftar dan penyenggaraan , rekod-rekod syarikat di pejabat berdaftar syarikat itu dan bagi menguruskan komunikasi yang disampaikan ke atas syarikat itu di pejabat berdaftarnya.
(4) Walau apa pun apa-apa peruntukan lain Akta ini yang berlawanan, setiausaha pemastautin tidak boleh dikenakan apa-apa penalti yang diperuntukkan dalam Akta ini sebagai seorang pegawai syarikat kecuali bagi apa-apa yang dilakukan atau tidak dilakukan olehnya dalam menjalankan tugas-tugas jawatannya, dan setiausaha pemastautin itu tidak boleh juga bertanggungan bagi apa-apa kerugian yang disebabkan kepada atau ditanggung oleh mana-mana orang, walau bagaimana jua pun ianya berbangkit, selain daripada dengan sebab perbuatan salah-laku yang sengaja, keingkaran sengaja atau keabaian sengaja.
(5) Suatu syarikat luar pesisir hendaklah dengan serta merta membayar apa-apa kos, caj dan perbelanjaan yang ditanggung oleh setiausaha pemastautin berkenaan dengan apa-apa yang dilakukan olehnya bagi pihak syarikat itu di bawah Akta ini.
(6) Gaji seorang setiausaha pemastautin suatu syarikat luar pesisir hendaklah ditetapkan secara persetujuan antara syarikat itu dan syarikat amanah yang menyediakan pegawai itu bagi perlantikan itu dan hendaklah dibayar mengikut apa-apa cara dan pada bila-bila masa sebagaimana yang dipersetujui antara syarikat amanah dan syarikat luar pesisir itu.
(7) Tiap-tiap setiausaha syarikat luar pesisir hendaklah dilantik oleh pengarah-pengarah syarikat itu.
