s 54 Duties of developer in relation to accounts

(1) During the preliminary management period, a developer shall, in respect of the maintenance account and the sinking fund account— (a) cause to be prepared such accounts and records of accounts as will sufficiently explain the transactions of the accounts and enable true and fair balance sheet, income and expenditure statement and profit and loss statement to be prepared for the period starting from the commencement of the preliminary management period; (b) appoint an approved company auditor to carry out the audit of the accounts annually and the accounts shall be audited— (i) in the case where control of all balances of moneys in the maintenance account and in the sinking fund account is to be transferred under paragraph 55(1)(a), up to the date of the actual transfer of control; or (ii) in the case where the accounts are to be presented at the first annual general meeting of the management corporation, up to a date not earlier than three months before the meeting; (c) file with the Commissioner a certified true copy of the audited accounts together with the auditor’s report within fourteen days of the accounts being audited; and (d) permit the Commissioner or any person authorized by the Commissioner in writing to act on its behalf full and free access to the accounts and records of accounts and to make copies or extracts of those accounts and records of accounts. (2) Notwithstanding subsection (1), the Commissioner shall have, at any time, the right to appoint an approved company auditor to investigate the accounts and records of accounts specified in subsection (1), and the developer shall pay all the expenses incurred for that purpose. (3) The developer shall furnish to the Commissioner or any public authority such returns, reports, accounts and information with respect to the activities and finances of the respective accounts, as the Commissioner may, from time to time, require or direct. (4) The returns, reports, accounts and information referred to in subsection (3) shall be in such form as the Commissioner may, from time to time, specify. (5) Any developer who fails to comply with subsection (1), (2), (3) or (4) commits an offence and shall, on conviction, be liable to a fine not exceeding two hundred and fifty thousand ringgit or to imprisonment for a term not exceeding three years or to both.

Kewajipan pemaju berhubung dengan akaun

(1) Semasa tempoh pengurusan permulaan, pemaju hendaklah, berkenaan dengan akaun penyenggaraan dan akaun kumpulan wang penjelas— (a) menyebabkan apa-apa akaun dan rekod akaun disediakan yang akan menjelaskan transaksi akaun dengan secukupnya dan membolehkan kunci kira-kira, penyata pendapatan dan perbelanjaan dan penyata untung rugi yang benar dan adil disediakan bagi tempoh yang bermula dari permulaan tempoh pengurusan permulaan; (b) melantik seorang juruaudit syarikat yang diluluskan untuk menjalankan audit ke atas akaun pada setiap tahun dan akaun itu hendaklah diaudit— (i) dalam hal jika kawalan bagi semua baki wang dalam akaun penyenggaraan dan dalam akaun kumpulan wang penjelas dipindahkan di bawah perenggan 55(1)(a), sehingga tarikh pemindahan kawalan yang sebenar; atau (ii) dalam hal jika akaun dibentangkan pada mesyuarat agung tahunan pertama bagi perbadanan pengurusan, sehingga tarikh yang tidak lebih awal daripada tiga bulan sebelum mesyuarat itu; (c) memfailkan dengan Pesuruhjaya suatu salinan akaun teraudit yang diperakui benar bersama dengan laporan juruaudit dalam masa empat belas hari daripada pengauditan akaun itu; dan (d) membenarkan Pesuruhjaya atau mana-mana orang yang diberi kuasa oleh Pesuruhjaya secara bertulis untuk bertindak bagi pihaknya akses yang penuh dan bebas kepada akaun dan rekod akaun dan untuk membuat salinan atau cabutan bagi akaun dan rekod akaun itu. (2) Walau apa pun subseksyen (1), Pesuruhjaya hendaklah mempunyai, pada bila-bila masa, hak untuk melantik seorang juruaudit syarikat yang diluluskan untuk menyiasat akaun dan rekod akaun yang dinyatakan dalam subseksyen (1), dan pemaju hendaklah membayar semua perbelanjaan yang dilakukan bagi maksud itu. (3) Pemaju hendaklah memberi Pesuruhjaya atau mana-mana pihak berkuasa awam apa-apa penyata, laporan, akaun dan maklumat berkenaan dengan aktiviti dan kewangan akaun masing-masing, sebagaimana yang dikehendaki atau diarahkan oleh Pesuruhjaya dari semasa ke semasa. (4) Penyata, laporan, akaun dan maklumat yang disebut dalam subseksyen (3) hendaklah dalam apa-apa bentuk yang dinyatakan oleh Pesuruhjaya dari semasa ke semasa. (5) Mana-mana pemaju yang tidak mematuhi subseksyen (1), (2), (3) atau (4) melakukan suatu kesalahan dan boleh, apabila disabitkan, didenda tidak melebihi dua ratus lima puluh ribu ringgit atau dipenjarakan selama tempoh tidak melebihi tiga tahun atau kedua-duanya.
