Section 1 Citation, commencement and interpretation

These Regulations may be cited as the Companies (Tables A to F) (Amendment) Regulations 2007 and come into force on 1st October 2007.

Section 2 Citation, commencement and interpretation

In these Regulations, references to Tables A and C are to those tables in the Companies (Tables A to F) Regulations 1985 .

Section 3 Interpretation

(1) Regulation 1 of Table A is amended as follows.

(2) Omit the definition of “the Act” and insert the following definition—

“ the Act ” means the Companies Act 1985 including any statutory modification or re-enactment thereof for the time being in force and any provisions of the Companies Act 2006 for the time being in force;

Section 4 General meetings

Regulation 36 of Table A ceases to have effect.

Section 5 General meetings

(1) Regulation 37 of Table A is amended as follows.

(2) After the words “proceed to convene” omit the words “an extraordinary” and insert the word “a”.

(3) After the first reference to “general meeting” omit the words “for a date not later than eight weeks after receipt of the requisition” and insert the words “in accordance with the provisions of the Act”.

Section 6 Proceedings at general meetings

Regulation 53 of Table A ceases to have effect.

Section 7 Winding up

(1) Regulation 117 of Table A is amended as follows.

(2) After the words “with the sanction of” omit the words “an extraordinary” and insert the words “a special”.

Section 8

Regulations 9 to 18 amend Table A only so far as it relates to private companies limited by shares.

Section 9 Notice of general meetings

(1) Regulation 38 of Table A is amended as follows.

(2) Omit the words “An annual general meeting and an extraordinary general meeting called for the passing of a special resolution or a resolution appointing a person as a director shall be called by at least twenty-one clear days’ notice. All other extraordinary”.

(3) Omit paragraph (a).

(4) In paragraph (b), omit the words “in the case of any other meeting” and “- five”.

(5) Omit the words “and, in the case of an annual general meeting, shall specify the meeting as such”.

Section 10 Proceedings at general meetings

(1) Regulation 40 of Table A is amended as follows.

(2) At the beginning of the second sentence insert the words “Save in the case of a company with a single member”.

Section 11 Votes of members

(1) Regulation 60 of Table A is amended as follows.

(2) After the words “our behalf at the” omit the words “annual/extraordinary”.

Section 12 Votes of members

(1) Regulation 61 of Table A is amended as follows.

(2) After the words “our behalf at the” omit the words “annual/extraordinary”.

Section 13 Appointment and retirement of directors

Regulations 73 to 75 of Table A cease to have effect.

Section 14 Appointment and retirement of directors

(1) Regulation 76 of Table A is amended as follows.

(2) After the words “No person” omit the words “other than a director retiring by rotation”.

Section 15 Appointment and retirement of directors

(1) Regulation 77 of Table A is amended as follows.

(2) After the words “meeting of any person” omit the words “(other than a director retiring by rotation at the meeting)”.

Section 16 Appointment and retirement of directors

(1) Regulation 78 of Table A is amended as follows.

(2) Omit the words “Subject as aforesaid,”.

Section 17 Appointment and retirement of directors

(1) Regulation 79 of Table A is amended as follows.

(2) Omit the second and third sentences.

Section 18 Appointment and retirement of directors

Regulation 80 of Table A ceases to have effect.

Section 19

Regulations 20 to 22 amend Table A only so far as it relates to public companies limited by shares.

Section 20 Notice of general meetings

(1) Regulation 38 of Table A is amended as follows.

(2) After the words “annual general meeting” omit the words “and an extraordinary general meeting called for the passing of a special resolution or a resolution appointing a person as a director”.

(3) After the words “All other” omit the word “extraordinary”.

Section 21 Votes of members

(1) Regulation 60 is amended as follows.

(2) After the words “our behalf at the annual/” omit the word “extraordinary” and insert the words “any other”.

Section 22 Votes of members

(1) Regulation 61 is amended as follows.

(2) After the words “our behalf at the annual/” omit the word “extraordinary” and insert the words “any other”.

Section 23 Meaning of Table A

Before Article 1 of Table C insert the following—

(A1) References in these Articles to Table A are to that Table so far as it relates to private companies limited by shares.
