(1) The securities result from the conversion of convertible securities and listing particulars (or a prospectus) relating to the convertible securities were (or was) published in the United Kingdom under or by virtue of Part VI or such other provisions applying in the United Kingdom as may be specified. (2) “ Convertible securities ” means securities of a specified kind which can be converted into, or exchanged for, or which confer rights to acquire, other securities. (3) “ Conversion ” means conversion into or exchange for, or the exercise of rights conferred by the securities to acquire, other securities.
